華星創業(300025.SZ)：瑞安創享變更為公司控股股東、實控人變更為朱東成
格隆匯 9 月 28日丨華星創業(300025.SZ)公佈，2020年9月20日，公司控股股東上海繁銀與瑞安創享簽署附生效條件的《股份轉讓及表決權委託協議》，上海繁銀擬將其持有的公司1607.401萬股股份(佔公司總股本的3.75%，“標的股份”)轉讓給瑞安創享，並在首期股份交割完成後將剩餘5090.103萬股(佔公司總股本的11.88%)股份以及未交割完成的股份的表決權委託給瑞安創享行使。2020年9月21日，上海繁銀股東會已審議通過本次交易事項，《股份轉讓及表決權委託協議》生效。2020年9月24日，上海繁銀與瑞安創享簽署《一致行動協議》。
根據《股份轉讓及表決權委託協議》約定，上海繁銀將其持有的上市公司1607.401萬股股份(占上市公司總股本的3.75%)及其所對應的股份代表的股東權利和權益，共分兩期以大宗交易方式依法轉讓給瑞安創享，其中本協議生效後轉讓占上市公司總股本比例為2%的股份，上述股份完成交割滿90日後轉讓剩餘股份占上市公司總股本比例為1.75%的股份。
2020年9月28日，上海繁銀通過大宗交易方式轉讓向瑞安創享轉讓持有佔上市公司總股本比例為2%的股份。
因上海繁銀持有的占上市公司總股本的11.88%股份尚在凍結中，無法轉讓，因此上海繁銀同意在委託期間內將其持有的上述股份及未完成交割的占上市公司總股本比例為1.75%的股份的表決權全部不可撤銷地委託給瑞安創享行使，以保證瑞安創享最晚不遲於首期交割的標的股份以大宗交易方式完成過户登記之日成為上市公司控股股東。
2020年9月28日，上海繁銀已經向瑞安創享轉讓其持有的占上市公司總股本比例2%的股份，故根據《股份轉讓及表決權委託協議》約定的股份的表決權委託生效。目前，瑞安創享擁有表決權的股份占上市公司總股本比例為15.63%，瑞安創享變更為上市公司控股股東，實際控制人變更為朱東成。
