潤邦股份(002483.SZ)：擬將綠威環保整體變更為股份有限公司
格隆匯 9 月 28日丨潤邦股份(002483.SZ)公佈，公司於2020年9月28日召開的第四屆董事會第二十九次會議審議通過了《關於控股子公司擬股份制改造的議案》。近年來，公司控股子公司江蘇綠威環保科技有限公司(“綠威環保”)發展狀況良好，在污泥處理處置細分領域具備核心競爭優勢，未來市場發展空間較大，現擬將綠威環保整體變更為股份有限公司。
綠威環保主營業務為市政污泥、工業污泥處理處置及資源化利用全產業鏈服務(包括污泥脱水、幹化、焚燒及熱電聯產、水泥協同等)，主要是以BOO、BOT、特許經營、EPC+O等模式開展業務，具備環保工程專業承包叁級資質。截至目前，綠威環保污泥處置運營產能規模合計約為100萬噸/年，污泥摻燒供蒸汽產能規模約為140萬噸/年。同時，藉助於國家污泥耦合發電試點工作的相關政策，綠威環保目前正在推進污泥耦合發電示範項目2個、獨立污泥處置項目1個，預計項目建成後合計將新增污泥處置產能規模約82萬噸/年。順應國家有關環境保護方面的政策支持和行業的快速發展趨勢，同時鑑於綠威環保近幾年發展狀況良好，在污泥處理處置細分領域具備核心競爭優勢並佔有一定的市場份額，未來市場發展空間較大，擬將其整體變更為股份有限公司。
此次綠威環保整體變更為股份公司有利於其完善公司治理結構、提升規範運作水平，有助於其在未來不斷拓寬融資渠道、增強研發能力和市場開拓能力，提升公司整體核心競爭力。同時，股份制改造可為綠威環保在符合有關法律、法規的條件下進行資本運作奠定基礎，保障綠威環保可持續發展。
綠威環保此次股份制改造不會影響公司的控制地位，不會對公司財務及經營狀況產生不利影響，也不存在損害公司及全體股東利益的情形。未來，綠威環保實現可持續健康發展將對公司的經營發展帶來積極有利的影響，符合公司的戰略規劃和未來發展方向。
