天澤信息(300209.SZ)：控股股東、實控人肖四清擁有公司股份表決權比例變動達到1%
格隆匯 9 月 28日丨天澤信息(300209.SZ)公佈，2020年5月25日，公司股東無錫中住集團有限公司(“中住集團”)、孫伯榮和湖南瀟湘鑫晟私募股權基金合夥企業(有限合夥)(“瀟湘鑫晟基金”)、肖四清等四方共同簽署了《關於天澤信息產業股份有限公司股份轉讓協議之補充協議》，對中住集團、孫伯榮與瀟湘鑫晟基金等三方此前簽署的《關於天澤信息產業股份有限公司股份轉讓協議》的部分約定進行了變更調整。同日，中住集團與肖四清簽署了《表決權委託協議》，中住集團同意將其所持上市公司5356.15萬股股份的全部表決權、提名和提案權、參會權以及除收益權和股份轉讓權等財產性權利之外的其他權利不可撤銷、排他及唯一地委託給肖四清行使。《表決權委託協議》自簽署之日起已生效。此次權益變動後，肖四清除直接持有公司4638.44萬股股份外，通過《表決權委託協議》合計擁有上市公司9994.59萬股股份對應的表決權，佔回購註銷1前公司有表決權股份總數(4.2億股，已扣除公司回購股份總數，下同)的23.82%。
2020年7月6日至2020年7月13日期間，中住集團通過集中競價交易方式累計減持公司股份4,195,900股，導致委託給肖四清的表決權股份減少419.59萬股。此次權益變動後，肖四清通過《表決權委託協議》合計擁有的上市公司股份表決權減少至9575.0萬股，佔回購註銷前公司有表決權股份總數(4.2億股)的22.82%。
根據公司於2018年5月25日與發行股份及支付現金購買資產並募集配套資金暨關聯交易(“此次交易”)相關各方簽署的《發行股份及支付現金購買資產協議》、《盈利補償協議》約定，因子公司深圳市有棵樹科技有限公司未完成2019年度的承諾業績事項，應由肖四清以其在此次交易獲得的股份對價優先於其他補償義務人承擔補償義務，具體為：由肖四清優先賠償股份，補償股份數為243.77萬股，其他補償義務人無需補償股份。2020年9月25日，公司在中國證券登記結算有限責任公司深圳分公司辦理完成上述243.77萬股業績補償股份的回購註銷手續。此次回購註銷完成後，公司總股本由4.26億股變更為4.24億股，公司有表決權股份總數由419,672,710股變更為4.17億股。同時，肖四清直接持股數由4638.44萬股減少至4394.68萬股。肖四清通過《表決權委託協議》合計擁有的上市公司股份表決權減少至9331.23萬股，佔回購註銷後公司有表決權股份總數(4.17億股)的22.36%。
如上所述，此次權益變動後，肖四清通過《表決權委託協議》合計擁有的上市公司股份表決權比例由23.82%減少至22.36%，變動比例達1.45%。
