紐威股份(603699.SH)：股東擬在同一實控人下協議轉讓部分股份 通泰香港不再為公司持股5%以上大股東
格隆匯9月28日丨紐威股份(603699.SH)公佈，2020年9月28日，公司接到大股東通泰香港、控股股東紐威集團的通知：2020年9月25日，通泰香港、紐威集團(合稱“轉讓方”)與王保慶、陸斌、程章文、席超(合稱“受讓方”)簽署了《股份轉讓協議》。轉讓方與受讓方一致同意通過協議轉讓的方式，合計轉讓紐威股份(證券代碼：603699)1.51億股無限售流通股股票(“標的股票”)，佔紐威股份總股本的20.20%。其中，通泰香港擬轉讓3790.92萬股給王保慶，佔通泰香港持有紐威股份比例32.26%，佔紐威股份總股本的5.05%；通泰香港擬轉讓3750萬股給陸斌，佔通泰香港持有紐威股份比例31.91%，佔紐威股份總股本的5.00%；通泰香港擬轉讓2959.08萬股給席超，佔通泰香港持有紐威股份比例25.18%，佔紐威股份總股本的3.95%；紐威集團擬轉讓3808.65萬股給程章文，佔紐威集團持有紐威股份比例9.55%，佔紐威股份總股本的5.08%；紐威集團擬轉讓839.97萬股給席超，佔紐威集團持有紐威股份比例2.11%，佔紐威股份總股本的1.12%。
此次協議轉讓價格為本協議簽署日前一交易日標的股票收盤價的90%(“轉讓單價”)，具體價格為12.92元/股。交易總價=標的股票數量×轉讓單價，具體交易總價為人民幣19.57億元。其中，王保慶支付給通泰香港的價款總額為人民幣4.9億元；陸斌支付給通泰香港的價款總額為人民幣4.845億元；程章文支付給紐威集團的價款總額為人民幣4.92億元；席超支付給通泰香港的價款總額為人民幣3.82億元，席超支付給紐威集團的價款總額為人民幣1.09億元。
此次權益變動後，王保慶持有紐威股份3816.61萬股，佔紐威股份總股本的5.09%；陸斌持有紐威股份3816.61萬股，佔紐威股份總股本的5.09%；程章文持有紐威股份3816.61萬股，佔紐威股份總股本的5.09%；席超持有紐威股份3816.61萬股，佔紐威股份總股本的5.09%；通泰香港持有紐威股份1252.17萬股，佔紐威股份總股本的1.67%；紐威集團持有紐威股份3.52億股，佔紐威股份總股本的46.96%。
王保慶、陸斌、程章文、席超為公司控股股東紐威集團的共同實際控制人，且具有一致行動人關係，通泰香港為紐威集團的全資子公司。此次股份轉讓系同一實際控制人下的股份轉讓。此次權益變動後，通泰香港不再作為公司持股5%以上的大股東。
