中地乳業(01492.HK)獲伊利股份(600887.SH)溢價11%提要約收購
格隆匯9月27日丨中地乳業(01492.HK)公佈，公司接獲要約人Wholesome Harvest Limited的通知，指要約人與認購人（金港商貿、張建設先生、YeGu Investment及Green Farmlands）已於2020年9月27日訂立股份認購協議，據此，金港商貿已有條件同意轉讓其合法實益持有的4.33億股股份；及向要約人注資16.6億港元，以換取要約人發行的18.99億股普通股，而張氏集團已有條件同意向要約人轉讓張氏集團實益持有的7.08億股股份，以換取要約人向Ye Gu Investment發行7.08億股普通股。要約人的每股轉讓及認購價為1.132港元，與要約價相等。
於完成時，要約人將持有11.4億股股份，相當於公司於本聯合公告日期已發行股本計算的表決權約43.75%。金港商貿及Ye Gu Investment將分別持有18.99億股及7.08億股要約人股份，相當於要約人全部已發行股本分別約72.84%及27.16%。
根據收購守則規則26.1，於完成時，要約人須就全部已發行股份提出強制性有條件現金要約，每股要約股份現金1.132港元，較9月25日收市價每股1.020港元溢價約11.0%。
要約人為一間2020年8月28日於開曼羣島註冊成立的獲豁免公司，乃為執行要約而成立。於本聯合公告日期，要約人由金港商貿全資且實益擁有。金港商貿為一間於香港註冊成立的公司，主要從事投資及貿易業務。其由伊利股份全資擁有。
要約人的意向為公司將繼續專注於發展現有業務（即在中國進行奶牛牧場經營），但將持續對其營運進行審閲，並會制訂計劃實現效率及與伊利股份（為要約人的最終控股股東）的聯屬業務之間的協同效益。
要約人擬（但並無責任）行使其根據開曼羣島公司法（經修訂）第88條所享有的任何權利，強制收購其未有根據要約收購的股份，前提是於寄發綜合文件後四個月內，要約人根據要約收購不少於90%的要約股份。於有關強制收購完成後，公司將成為要約人的全資附屬公司，公司將根據上市規則第6.15條提出申請撤回股份於聯交所上市。
