泛海控股(000046.SZ)：泛海廣場已選定一名潛在貸款人 為洛杉磯項目的落成提供融資
格隆匯 9 月 25日丨泛海控股(000046.SZ)公佈，2016年7月，公司境外附屬公司泛海廣場有限公司(“泛海廣場”)與Lendlease (US) Construction Inc. (“總承包商”)就興建公司洛杉磯項目簽訂了建築合同；2020年3月，公司境外附屬公司中泛控股(00715.HK，間接持有泛海廣場100%股權)就上述建築合同的履行提供了母公司擔保並簽署了相關擔保協議(上述擔保事項詳見公司於2020年3月7日披露的相關公告)。
2020年9月15日(美國洛杉磯時間)，總承包商通知泛海廣場其自該日起終止建築合同的決定。2020年9月22日(美國洛杉磯時間)，中泛控股接到總承包商通知，除非中泛控股實時支付3844萬美元，否則總承包商可能根據母公司擔保，要求中泛控股參與在加州洛杉磯由美國仲裁協會進行的快速仲裁。
目前，泛海廣場已展開關於新總承包商的甄選過程。同時，總承包商一直支持洛杉磯項目，並表示將盡其最大努力確保能順利和成功與新的總承包商交接。在此期間，泛海廣場考慮由其現有工程監理接管地盤管理的職責，直至其選出新的總承包商為止。目前，泛海廣場已選定一名潛在貸款人，為洛杉磯項目的落成提供融資，並在2020年年底左右清償所有現有債務。雙方已經簽署意向書，而貸款人目前正進行盡職調查。此項貸款一旦成功獲授，將動員所有承包商，使洛杉磯項目重新步入正軌，預計於36個月內完成。
公司、中泛控股現正評估終止建築合同和可能執行母公司擔保對公司的影響，初步預計不會對洛杉磯項目的進度或其落成以及公司的財務、經營等造成重大影響。目前沒有或幾乎沒有對洛杉磯項目進行監管工作。而泛海廣場可將總承包商撤換，由其現有工程監理取代，或招聘新的總承包商，目前正就此兩個選項進行研究。因此，終止與總承包商合作不會對公司洛杉磯項目的進度或其最終落成構成重大影響。
至於母公司擔保，總承包商現時只知會了中泛控股，表示其可嘗試執行母公司擔保以收回分包商結欠之款項。由於泛海廣場正與建築貸款人商討以貸款方式支付此筆款項，故根據母公司擔保所結欠之款項將於貸款獲授時清償。同一時間，泛海廣場與總承包商正持續磋商。中泛控股亦正積極尋找不同途徑(包括尋求直屬控股公司支持)以結清洛杉磯項目的欠款，同時致力推進盡職調查之進度及與潛在貸款人之間的建築貸款協議磋商，務求完成洛杉磯項目。
