格隆匯9月25日丨映客(03700.HK)發佈公告，集團正進行一系列重組步驟，有關集團分別通過與註冊股東及社交經營公司湖南燦宸映朝網絡科技有限公司簽訂社交可變權益實體協議；及與註冊股東及直播電商經營公司湖南凌霄攬勝網絡科技有限公司簽訂直播電商可變權益實體協議設立兩個新可變權益實體架構，即社交可變權益實體架構及直播電商可變權益實體架構。
社交外商獨資企業與社交經營公司於2020年9月25日訂立社交獨家諮詢和服務協議，社交經營公司同意聘用社交外商獨資企業為其獨家顧問及服務提供商。直播電商外商獨資企業與直播電商經營公司於2020年9月25日訂立直播電商獨家諮詢和服務協議，直播電商經營公司同意聘用直播電商外商獨資企業為其獨家顧問及服務提供商。
據悉，社交經營公司為於中國成立的有限公司，由註冊股東全資擁有。社交經營公司主要從事線上社交業務。直播電商經營公司為於中國成立的有限公司，由註冊股東全資擁有。直播電商經營公司主要從事直播電商業務。
公司表示，自上市以來，集團一直以在中國經營移動端直播平台作為主營業務。移動端直播業務為集團的主營業務，涉及運營移動端直播平台，供主播分享內容及表演，實時與觀眾互動。移動端直播業務展現各類市場焦點，包括但不限於互動娛樂、線上社交及購物等特定市場焦點。主播可基於不同市場焦點定製內容和表演，以吸引目標觀眾，達致特定商業目的。
自上市以來，集團的移動端直播業務一直穩定增長，因此，集團希望豐富產品組合，以進一步擴大客户羣及產生收益。集團認為，隨着近年中國許多在線業務的快速增長，本行業逐漸細分為各類特定市場（例如線上社交及直播電商細分市場）。這些特定的細分市場在移動端直播行業迅速擴展。移動設備的普及加上對移動設備的依賴普遍推動線上社交及購物服務細分市場的需求。因此，集團認為，集團的業務重心從目前的互動娛樂直播業務轉變為同時經營線上社交和直播電商業務，以滿足新興客户需求，從而增加集團創收機會。
此外，公司認為，近年來中國的移動端直播行業經歷快速發展，本行業逐漸細分為各類特定市場（例如線上社交及直播電商細分市場）。這些特定的細分市場在移動端直播行業迅速擴展，將為集團提供新的機會。
