深科技(000021.SZ)：協議安排議案已於昂納科技集團法院會議上批准
格隆匯 9 月 25日丨深科技(000021.SZ)公佈，公司第九屆董事會第七次會議和2020年度(第二次)臨時股東大會分別於2020年7月7日和2020年7月24日審議通過了《關於全資子公司開發科技(香港)有限公司(“深科技香港”)參與其參股企業昂納科技(集團)有限公司(“昂納科技集團”)以協議安排方式私有化暨關聯交易的議案》。該事項將根據開曼羣島《公司法》第86條及《收購守則》第2.10條規定以協議安排的方式實行。於協議安排生效日，要約人將向協議安排股東支付註銷對價，以註銷其持有的協議股份。協議股份註銷後，昂納科技集團將向要約人Optical Beta發行新股，昂納科技集團成為要約人Optical Beta的全資子公司，並從聯交所退市。
2020年9月25日，協議安排議案已於昂納科技集團法院會議(指按大法院之指令就批准協議安排而召開之股東大會)上批准，註銷協議安排股份並向要約人發行與註銷的協議安排股份數量相等的新股份的決議案已於昂納科技集團特別股東大會上通過。
待協議安排生效後，昂納科技集團預計將於2020年10月19日下午4時正起（北京時間）於香港聯交所退市，並於2020年10月27日或之前寄發協議安排項下現金付款之支票，具體內容詳見昂納科技集團於2020年9月25日在香港聯交所發佈之聯合公告。
此次私有化交易完成後，深科技香港現金對價退出6000萬股，獲得現金3.9億港元，並通過要約人Optical Beta持有昂納科技集團17.785%股權。
經公司財務部門測算，以上現金對價退出股份預計確認的2020年度投資收益(税前)約2.45億元人民幣，佔公司最近一期(2019年度)經審計歸屬於上市公司股東的淨利潤69.6%，此次交易對公司2020年第三季度經營業績沒有影響。以上數據未經審計，最終將以公司披露的經會計師事務所審計確認的數據為準。
