長榮股份(300195.SZ)董事會通過了關於向關聯方借款暨關聯交易的議案
格隆匯 9 月 24日丨長榮股份(300195.SZ)公佈，公司為滿足公司資金需求，優化融資結構，提高內部資金使用效率，分別於2019年6月3日、2019年6月18日、2020年5月18日及2020年6月4日向原控股子公司深圳市力羣印務有限公司(“力羣印務”)借款人民幣8000萬元、2000萬元、4000萬元、5000萬元，合計借入人民幣19000萬元，用於生產經營流動資金。
2020年7月14日，公司召開第五屆董事會第三次會議及第五屆監事會第三次會議審議並通過《關於資產置換暨關聯交易的議案》，公司與關聯方天津名軒投資有限公司(“名軒投資”)簽訂了《資產置換協議》，公司置出資產為Masterwork Machinery Sàrl.100%股權及力羣印務85%股權，置入資產為天津名軒智慧城科技發展有限公司100%股權，差額由名軒投資向長榮股份以現金方式補足。上述事項已經公司2020年第五次臨時股東大會審議通過。截至目前，上述資產置換事項已完成，力羣印務已成為名軒投資控股子公司。
公司董事長、總裁、控股股東、實際控制人李莉持有名軒投資90%股權，名軒投資持有力羣印務85%股權，同時李莉擔任名軒投資執行董事、力羣印務董事長，公司董事高梅擔任名軒投資總經理，公司監事董浩擔任名軒投資控制的天津小蜜蜂物業管理有限公司執行董事。根據《深圳證券交易所創業板股票上市規則》、《深圳證券交易所創業板上市公司規範運作指引》以及《公司章程》的有關規定，力羣印務為公司關聯方，前述公司從力羣印務借款構成關聯交易。
2020年9月24日公司第五屆董事會第七次會議審議並通過了《關於向關聯方借款暨關聯交易的議案》，關聯董事李莉、高梅迴避表決，會議應參與表決的非關聯董事5名，此項議案以5票贊同，0票反對，0票棄權獲得通過。
