恆泰艾普(300157.SZ)子公司北京博達瑞恆科技100%股權被凍結
格隆匯9月24日丨恆泰艾普(300157.SZ)公佈，2020年9月23日，公司通過自查確認，獲悉公司名下部分子公司股權被凍結：
公司作為基石出資人發起設立北京易豐恆泰製造產業併購基金(有限合夥)(以下簡稱“易豐恆泰基金”)，基金總規模為6億元，恆泰艾普作為有限合夥人出資2.94億元。
2019年4月19日，易豐恆泰基金向公司控股子公司錦州新錦化機械製造有限公司(以下簡稱“新錦化機”)增資1.8億元，用於新錦化機北京透平機械研發銷售中心和重慶第二生產基地建設。
後續，綜合考慮公司高端裝備及智能製造業務的發展戰略及新錦化機產能擴張效率等因素，公司決定暫緩重慶第二生產基地項目建設，重慶盛世也因此要求退出易豐恆泰基金有限合夥。為維持易豐恆泰基金及新錦化公司股權結構穩定，2019年12月20日，經公司第四屆董事會第十九次會議審議通過，同意公司收購重慶盛世持有的易豐恆泰基金的30%的份額(即認繳出資1.8億元，其中已實繳6,120萬元)。公司與重慶盛世簽署了《關於北京易豐恆泰智能製造產業併購基金(有限合夥)的份額轉讓協議》，綜合基金項目投資情況，轉讓價款經雙方協商定為人民幣6,546萬元。
截至目前，公司已向重慶盛世支付了3,146萬元基金份額轉讓款，重慶盛世認為公司未按照份額轉讓協議約定履行全部支付義務。因此，向中國國際經濟貿易仲裁委員會提起仲裁，請求公司支付基金份額轉讓價款3572.71萬元及違約金等，並申請凍結了公司持有北京博達瑞恆科技有限公司100%股權(凍結金額為3654萬元，凍結時間為2020年8月7日)及公司基本銀行賬户。
本案由中國國際經濟貿易仲裁委員會受理，案件已於2020年8月31日開庭審理，目前尚未收到具體裁決結果。同時，公司正在積極與申請凍結方、法院等進行溝通、協商以採取有效措施儘快解決雙方糾紛問題，並積極通過法律途徑主張權利，依法採取措施保護公司的合法權益，爭取妥善解決股權被凍結的事項。
