天山生物(300313.SZ)稱：青銅峽美加農與兩公司的交易均為真實交易
格隆匯 9 月 23日丨天山生物(300313.SZ)發佈股票交易異常波動公告稱，公司關注到相關媒體報道公司與前五客户中洛陽辰濤牧業科技有限公司、寧夏瑞豐源牧業有限公司的交易涉嫌虛構客户及交易的情形。經核實，報道中提及的洛陽辰濤牧業科技有限公司、寧夏瑞豐源牧業有限公司為公司孫公司寧夏青銅峽市美加農牧業發展有限公司(“青銅峽美加農”)客户，青銅峽美加農與上述兩公司的交易均為真實交易，財務數據經過審計，現就此做如下澄清和説明：
1)2018年10月，公司合併報表範圍內的孫公司青銅峽美加農與洛陽辰濤牧業科技有限公司簽署《安格斯肉牛買賣合同》，銷售安格斯牛，銷售金額為1000萬元。該交易真實，不存在虛假情形。該筆交易的主體為青銅峽美加農，天山生物不是直接交易主體。因財務人員工作失誤，在統計公司2018年合併報表範圍內前五大客户時，誤將銷售額錯填為3,646,841.00元。公司分別於2019年5月28日和2020年5月28日披露的《關於對深圳證券交易所2018年年報問詢函的回覆》P44頁和《關於對深圳證券交易所2019年年報問詢函的回覆》P21頁中更新了正確的前五客户數據。公司因上述更正給投資者帶來的不便致以誠摯歉意，公司今後將加強財務報告和定期報告編制中的審核工作,進一步提高信息披露質量，懇請廣大投資者諒解。
2)2019年9月，公司合併報表範圍內的孫公司青銅峽美加農與寧夏瑞豐源牧業有限公司簽署《牛隻銷售合同》，銷售荷斯坦育成牛，銷售金額為668.85萬元，該交易真實，不存在虛假情形。天山生物不是直接交易主體，該筆交易主體為青銅峽美加農。
3)寧夏美加農生物科技發展股份有限公司(“寧夏美加農”)系公司和魯寶傑等17名小股東共同出資，公司持股佔其註冊資本的51%。張自強由寧夏美加農少數股東推薦，擔任寧夏美加農之子公司寧夏青銅峽市美加農牧業發展有限公司監事，擔任寧夏美加農參股公司寧夏博瑞飼料有限公司監事。張自強持有寧夏美加農股份轉讓後，其監事職務並未發生變化。根據《深交所創業板股票上市規則》上述控制下公司監事任職信息不屬於公司應披露信息範圍，張自強不屬於上市公司關聯人範疇，上述交易也不屬於天山生物的關聯交易。
