萬和電氣(002543.SZ)：收購廣東萬博50%股權完成工商登記 公司持其股權變更為100%
格隆匯 9 月 23日丨萬和電氣(002543.SZ)公告，公司於2020年7月3日召開的董事會四屆十次會議審議通過了《關於收購廣東萬博電氣有限公司50%股權的議案》，為落實公司整體的發展戰略與目標，持續專注於家用熱水解決方案的研發和生產，同時進一步增強對子公司的控制力度，提高公司決策效率，公司於2020年7月3日與ROBERTBOSCHINVESTMENTNEDERLANDB.V.(中文譯名羅伯特?博世投資荷蘭有限公司，以下簡稱“博世荷蘭”)、博世(中國)投資有限公司(以下簡稱“博世中國”)簽訂了《股權購買協議》，擬以自有資金人民幣2.10億元收購博世荷蘭、博世中國合計持有廣東萬博電氣有限公司(以下簡稱“廣東萬博”)50%的股權。本次股權轉讓後，公司持有廣東萬博的股權由50%變更為100%，博世荷蘭、博世中國將不再持有廣東萬博的股權，廣東萬博為公司全資子公司。
根據公司與博世荷蘭、博世中國簽訂的《股權購買協議》，股權價款需在廣東萬博、全資子公司合肥萬博電氣有限公司(以下簡稱“合肥萬博”)向工商變更登記部門提交工商變更登記申請前三個工作日內支付，公司嚴格按照《股權購買協議》之約定，於2020年9月15日已全部支付至指定的銀行賬户，合計人民幣2.10億元。
廣東萬博於2020年9月18日完成了工商變更登記手續，並取得了佛山市市場監督管理局換髮的《營業執照》。具體工商登記信息如下：

3、類型：有限責任公司(法人獨資)
4、住所：佛山市高明區楊和鎮楊西大道601號
5、法定代表人：楊頌文
6、註冊資本：人民幣叁億元
7、成立日期：2017年03月17日
8、經營期限：2017年03月17日至2027年03年16日
9、經營範圍：研發、生產、銷售：電熱水器、熱泵熱水器、熱泵熱水機、變頻冷暖熱泵空調、低環境温度空氣源熱泵(冷水)機組、户用及類似用途的熱泵(冷水)機組、太陽能熱水器、太陽能集熱器、燃氣熱水器及上述產品的技術進出口、安裝、維修和配件銷售。(以上項目不涉及外商投資准入特別管理措施)(依法須經批准的項目，經相關部門批准後方可開展經營活動。)
全資子公司合肥萬博也於2020年9月18日在長豐縣市場監督管理局完成了管理人員、章程備案登記手續。
