益生股份(002458.SZ)：益生雙鴿與雙鴿食品簽訂了股權轉讓協議
格隆匯 9 月 22日丨益生股份(002458.SZ)公佈，2020年8月19日，公司召開第五屆董事會第七次（臨時）會議，審議通過了《關於對外投資進展暨設立石家莊益生雙鴿種豬繁育有限公司的議案》，同意公司與河北雙鴿食品股份有限公司(“雙鴿食品”)共同出資2億元，設立石家莊益生雙鴿種豬繁育有限公司(“益生雙鴿”)，開展種豬養殖業務。其中，益生股份認繳出資額為人民幣17000萬元，佔註冊資本的85％；雙鴿食品認繳出資額為人民幣3000萬元，佔註冊資本的15％。
合資公司設立後，擬以市場價格收購雙鴿食品所持有的河北雙鴿鈺農畜牧科技有限公司(“雙鴿鈺農”)100%的股權、河北潤源養殖有限公司100%的股權(“潤源養殖”)以及靈壽縣育博養殖有限公司(“靈壽育博”)100%的股權。
2020年9月2日，公司發佈《關於石家莊益生雙鴿種豬繁育有限公司取得營業執照的公告》，益生雙鴿已完成工商註冊登記手續，並取得石家莊市裕華區行政審批局頒發的《營業執照》。
近日，益生雙鴿與雙鴿食品簽訂了《股權轉讓協議》，以496萬元收購雙鴿食品持有雙鴿鈺農100%的股權及股權所對應的全部股東權益，以1557.7萬元收購雙鴿食品持有靈壽育博100%的股權及股權所對應的全部股東權益。對潤源養殖的股權收購事宜，尚未簽署《股權轉讓協議》。
在辦理交接時，益生雙鴿與雙鴿食品對靈壽育博截止交接日的資產、負債情況進行全面盤點、審核，因交接日與審計基準日(2020年5月31日)間靈壽育博的資產發生變動，最終，益生雙鴿對靈壽育博的收購價款由1750萬元變更為1557.70萬元。
上述股權轉讓價款於《股權轉讓協議》簽訂後5個工作日內一次性向雙鴿食品付清。雙方應積極配合辦理股權轉讓的行政審批變更登記手續，股權轉讓所產生的法定税費由雙方按國家相關規定各自承擔並及時交納。
