豫金剛石(300064.SZ)：暫無第三代半導體相關業務
格隆匯 9 月 21日丨豫金剛石(300064.SZ)公佈，近期，公司就股票交易的相關事項進行了必要的核查。鑑於相關核查工作已完成，根據《深圳證券交易所創業板股票上市規則》等相關規定，經公司申請，公司股票將於2020 年 9月22日開市起復牌。
近日公司關注市場傳聞公司涉及第三代半導體概念。公司暫無第三代半導體相關業務，也未因第三代半導體材料貢獻收入和利潤。
公司股價自2020年8月24日至2020年9月8日，公司股價累計漲幅為153.44%，同期創業板綜指漲幅為4.29%，偏離值為149.15%。公司近期經營情況未發生重大變化，短期內公司股價漲幅較高，與同期創業板綜指偏離度較大。公司鄭重提請投資者注意：投資者應充分了解股票市場風險，切實提高風險意識，審慎決策、理性投資。
2020年半年度，公司歸屬於上市公司股東的淨利潤虧損35714.48萬元，較上年下降853.67%。2019年度，公司歸屬於上市公司股東的淨利潤為虧損519654.94萬元，較上年同期下降5493.97% 。公司業績處於虧損狀態，股價缺乏業績支撐。敬請廣大投資者注意投資風險。
截至目前，公司共涉及62項訴訟/仲裁案件，案件金額合計約469409.85萬元，案件中已判決生效案件31項，訴訟金額為176590.45萬元，根據判決公司承擔責任的訴訟金額約為172393.01萬元，雙方已達成和解的案件5項，涉及公司承擔責任的訴訟金額約為13413.23萬元(公司承擔責任的訴訟金額因利息、違約金等原因可能存在變動)。因訴訟事項，法院已執行劃扣公司資產形成訴訟損失33880.01萬元。
公司2019年度審計機構亞太(集團)會計師事務所(特殊普通合夥)對公司2019年度財務報表及財務報表附註進行了審計，出具了保留意見的《審計報告》。截至目前，上述保留意見事項暫未消除。
因訴訟事項，公司大部分銀行賬户資金、土地、對外投資股權等被凍結、查封，銀行借款、應付票據、信用證、融資租賃長期應付款存在逾期未付，持續經營能力存在重大不確定性。
2020年4月7日，公司收到《中國證券監督管理委員會調查通知書》(豫調查字2020013號)。因涉嫌信息披露違法違規，中國證券監督管理委員會決定對公司立案調查。目前正在調查期間，暫未收到結論性意見或決定。
因公司涉及的多起訴訟事項，存在未履行內部審批及相關審議程序對外提供擔保的情形，可能觸及《深圳證券交易所創業板股票上市規則》（2020年修訂）第9.4條、9.5條有關其他風險警示的規定，從而被深圳證券交易所實施其他風險警示。目前公司仍在全面自查及核實中，並已聘請專業的律師團隊應訴，爭取儘快解決相關訴訟事項，維護公司和股東利益。
因相關訴訟案件未按執行通知書指定的期間履行生效法律文書確定的給付義務，公司、公司控股股東及實際控制人被列入失信被執行人。公司將採取相關措施，並督促控股股東和實際控制人推動協調相關和解事項，爭取儘快消除該事項帶來的影響。
