申通快遞(002468.SZ)：阿里行權增持至25% 陳德軍兄妹仍為實控人
格隆匯 9 月 21日丨申通快遞(002468.SZ)公佈，公司接到公司控股股東上海德殷投資控股有限公司(“德殷投資”)、實際控制人陳德軍和陳小英的通知：(1)德殷投資與上海德殷德潤實業發展有限公司(“德殷德潤”)、阿里巴巴(中國)網絡技術有限公司(“阿里網絡”)簽署了關於德殷德潤的《分立協議》；(2)德殷投資、實際控制人與阿里網絡簽署了《經修訂和重述的購股權協議》(“新《購股權協議》”)和《關於上海德殷德澤實業發展有限公司(擬定名)的股權轉讓協議》(“《股權轉讓協議》”)。
根據《分立協議》，德殷德潤將進行新設分立，分立後的存續主體分別為上海德殷德澤實業發展有限公司(暫定名，以市場監管局核准的名稱為準，“新設公司1”)及上海德殷潤澤實業發展有限公司(暫定名，以市場監管局核准的名稱為準，“新設公司2”)。分立完成後，(1)阿里網絡將持有新設公司1的58.60%的股權、德殷投資將持有新設公司1的41.40%的股權；新設公司1將持有公司的約3.83億股無限售流通股股份、佔公司總股本的25%；(2)德殷投資將持有新設公司2的100%的股權，新設公司2將持有公司約7500.93萬股無限售流通股股份、佔公司總股本的4.9%。
根據新《購股權協議》，德殷投資授予阿里網絡或其指定的第三方購股權，以購買：(1)德殷投資持有的新設公司1的41.40%股權；(2)德殷投資持有的新設公司2的100%股權或新設公司2屆時持有的4.9%的公司股份(在符合適用中國法律的前提下，視情況而定)；以及(3)德殷投資持有的上海恭之潤實業發展有限公司(“恭之潤”)100%的股權或恭之潤屆時持有的16.1%的公司股份(在符合適用中國法律的前提下，視情況而定)。
其中，基於新《購股權協議》的約定，阿里網絡與德殷投資、實際控制人簽署了《股權轉讓協議》，擬在德殷德潤分立完成後由阿里網絡向德殷投資購買德殷投資屆時持有的新設公司1的41.40%的股權。
此次權益變動後，德殷投資直接並通過其控制的新設公司2、恭之潤間接合計持有公司無限售流通股約4.4億股，佔公司總股本的28.76%；公司實際控制人陳德軍、陳小英合計持有德殷投資100%的股權，德殷投資及其一致行動人陳德軍、陳小英合計持有公司股份約5.49億股，佔公司總股本的35.84%。阿里網絡將通過其控制的新設公司1持有公司約3.83億股無限售流通股股份、佔公司總股本的25%。
此次權益變動後，德殷投資仍直接和間接合計持有公司28.76%的股份，陳德軍、陳小英可以實際支配的公司股份為35.84%。此次權益變動後，陳德軍及陳小英可以實際支配公司股份表決權超過30%，依然擁有公司的控制權。因此德殷德潤分立和《股權轉讓協議》項下的交易並不會導致公司的控制權發生變化。如阿里網絡根據新《購股權協議》的約定選擇進一步行使購股權並完成相應股權/股份轉讓，公司的實際控制人可能會發生變更。
