科創新源(300731.SZ)擬不超1.7億元收購舜富精密55%股權 切入新能源汽車電控系統市場
格隆匯 9 月 21日丨科創新源(300731.SZ)公佈，為抓住5G及新能源汽車行業發展機遇，深化公司在5G通信基站端和新能源汽車電控系統市場的業務佈局，培育新的利潤增長點，2020年9月20日，公司與上海舜富精工科技股份有限公司(“舜富精工”)簽署了《關於對蕪湖舜富精密壓鑄科技有限公司股權轉讓框架協議》，公司擬以不超過1.7億元的交易價格收購舜富精工所持有的蕪湖舜富精密壓鑄科技有限公司(“舜富精密”或“標的公司”)55%股權，此次交易完成後，科創新源將持有舜富精密55%股權，以取得對標的公司的控制權。
蕪湖舜富精密壓鑄科技有限公司成立於2009年，主要從事新能源汽車電控系統、汽車零配件、燈具、電機等鋁合金壓鑄件的研發、生產和銷售，產品可應用於新能源汽車、5G通訊、機械配件、電機電器、燈具照明、電子器件等領域。
自成立以來，舜富精密始終堅持“高起點、高質量”的定位原則，先後從國內外引進具有世界領先水平的各系列生產設備。目前舜富精密已擁有半固態壓鑄機等近30台壓鑄機系列設備；擁有數控車牀、CNC數控加工中心、CNC雕刻機等近300台各類精加工機牀；同時，舜富精密還引進了光譜分析檢測儀器、X光分析儀、三座標測量機、金相分析顯微鏡、萬能試驗機等具有國際領先核心技術水平的生產檢測設備，全面保證了產品的工藝品質和領先性。憑藉業內領先的自主核心技術和可持續研發能力，近年來舜富精密被評為省級高新技術企業、省智能工廠、省綠色工廠、省專精特新企業、省市技術研究中心、市科技小巨人企業、第二屆中國鑄造行業壓鑄件生產企業綜合實力50強企業和中國鑄造協會頒發的AAA級誠信企業等。
作為華東地區大型的鋁合金壓鑄件生產企業之一，舜富精密與許多大型優質客户建立了長期穩定的戰略合作關係，主要客户包括中興通訊、匯川技術、立訊精密、PHILIPS、MES、SEW等知名企業。近年來，舜富精密在穩定傳統燈具、汽車零配件、電機等企業客户的同時，加大了對新能源汽車電控系統壓鑄件及5G通信基站用散熱器整機、半固態壓鑄件技術的研發力度。目前，在新能源汽車業務領域，舜富精密已成為新能源汽車電控系統龍頭匯川技術的戰略供應商並批量供應控制箱體鋁合金壓鑄件；在通信業務領域，舜富精密已成為國內主要通信設備廠商中興通訊5GAAU用散熱器整機的主要供應商。
隨着國家支持5G產業和新能源汽車產業相關政策的不斷實施，5G通信設備商和新能源汽車廠商迎來巨大的發展空間。公司擬通過此次股權轉讓獲得舜富精密的控制權，提升公司在精密壓鑄領域的工藝水平。未來公司將通過整合上下游資源，在原材料成本控制、供應鏈管理、下游客户開發等方面發揮積極的協同作用，構建從5GAAU用散熱齒片到散熱器整機的一體化生產交付能力，深度綁定客户需求；另一方面公司將通過舜富精密切入新能源汽車電控系統市場，提高公司產品多元化水平，培育新的利潤增長點，符合公司的戰略發展目標及公司和全體股東的利益。
