格隆匯 9 月 21日丨粵傳媒(002181.SZ)公佈,為實現公司文創產業生態投資運營轉型發展的目標,充分利用公司綜合優勢和資源,打造文化創意產業聚合平台,擬由公司與廣州日報社簽訂房屋租賃合同租賃廣州日報社位於廣州市越秀區同樂路10號大院等66處物業(廣州日報社人民中路園區),並在合同中約定待公司全資孫公司廣州廣報文化園區運營管理有限公司(暫定名,公司名稱以工商行政管理部門最終核定為準,廣報園區運營公司)完成工商設立登記後十個工作日內,廣州日報社、公司及廣報園區運營公司簽署三方協議,公司將合同項下所有權利義務全部轉讓給廣報園區運營公司,由廣報園區運營公司將該物業投資改造建設為粵港澳大灣區大健康文化創意產業示範基地此次租賃物業建築面積約23419.07平方米(租賃面積以房產證登記有效面積為準),租賃期12年,預計租金總額約為15915.42萬元。

廣州傳媒控股有限公司是公司的控股股東,持有公司47.64%股權,廣州大洋實業投資有限公司持有公司18.21%股權,是公司第二大股東,廣州傳媒控股有限公司為廣州日報社的全資子公司,廣州大洋實業投資有限公司為廣州傳媒控股有限公司的全資子公司,廣州日報社及其子公司或附屬單位與公司構成關聯關係,因此此次交易構成關聯交易。

根據《深圳證券交易所股票上市規則》《公司章程》等相關規定,此次關聯交易在董事會審批權限內,不需要提交公司股東大會審議,亦不構成《上市公司重大資產重組管理辦法》規定的重大資產重組。
