深冷股份(300540.SZ)：擬向徐州銘寰能源增資2000萬元
格隆匯 9 月 21日丨深冷股份(300540.SZ)公佈，公司擬與徐州銘寰能源有限公司及其全體股東簽署《關於徐州銘寰能源有限公司之增資協議》，約定由公司或公司參與出資的指定第三方向標的公司徐州銘寰能源有限公司增資人民幣2000萬元，其中308萬元計入標的公司的註冊資本，增資溢價部分計入標的公司的資本公積金，此次增資完成後，公司或公司參與出資的指定第三方對徐州銘寰能源有限公司的出資比例為23.55%。
徐州銘寰能源有限公司核心團隊擁有多年氫燃料及燃料電池的從業背景和經驗，具有獨立、完整和成熟的燃料電池技術開發能力，從系統設計計算到零部件的選型，從控制系統的開發到控制策略的實施，從產品的應用到市場的需求，團隊都積累了豐富的實戰經驗。公司先後開發了天然氣、甲烷、甲醇、汽油、柴油、生物柴油和生物石油重整制氫系統，設計並製造氫能源相關設備，在上海、遼寧、天津、浙江、廣東等地開展燃料電池熱電聯產、燃料電池備用電源等項目示範。
公司具有豐富的燃料電池、重整制氫系統開發、製造及系統集成經驗，針對核心相關技術已經申請知識產權32項，其中發明專利9項，至今已授權專利22項。公司主要產品包括：甲醇重整制氫系統、甲醇重整燃料電池備用電源系統(產品規格為：3千瓦和5千瓦)、高温質子膜燃料電池(產品規格為2千瓦和5千瓦)、天然氣/柴油重整固體氧化物燃料電池熱電聯產系統(產品規格為：1千瓦)、天然氣重整制氫系統(產品規格為：10千瓦和25千瓦)、天然氣熱電聯產燃料電池系統(產品規格為：1千瓦)、燃料電池測試裝置等。
公司目前的主要業務方向為氫燃料電池用於5G通信基站備用電源的產品推廣和銷售，該產品已在遼寧、江蘇多個基站進行了試運行，經歷了不同環境(高温，低温，潮濕和乾燥)。通訊基站對穩定可靠的電力要求是眾所周知，尤其是超級基站，目前該類基站的備電是主要由電池和柴油發動機組合提供，年維護費用均較高，氫燃料電池以其穩定可靠、全天候使用、零污染、維護成本相對較低的特點得到了基站運營商的高度肯定，具有較好的經濟效益和社會效益。經過市場調研，徐州銘寰已將5千瓦的甲醇燃料電池基站備用電源系統作為目前發展和推廣的的重點產品。
徐州銘寰近期開發完成的天然氣、甲醇重整制氫固體氧化物(SOFC)燃料電池熱電聯產系統已經在客户企業不間斷運行超過1000小時，系統運行穩定。重整制氫的固體氧化物燃料電池系統開發難度大，技術門檻高，國內目前暫無工業化產品，國外該類產品已為大數據中心、銀行、醫院、學校和消費娛樂場所提供了超過30GW裝機量的新型能源服務。該系統具有60%的發電效率、超過90%的熱電總效率，採用固體氧化物(SOFC)燃料電池熱電聯產系統提供分佈式能源具有發電效率高、零排放、應用面廣的特點，符合國家清潔能源的產業政策，固體氧化物(SOFC)燃料電池熱電聯產系統預計將成為為中大型分佈式發電、數據中心、商業樓宇、醫療和特殊領域提供清潔能源服務的主流產品之一。
徐州銘寰此次增資的資金擬用於產品生產線建設、補充流動資金。
