中國烯谷集團(00063.HK)涉嫌未經授權轉讓日本附屬WIGraphene股權
格隆匯9月18日丨中國烯谷集團(00063.HK)發佈公告，有關涉嫌未經授權轉讓集團於WIGraphene Co., Ltd的股權，該公司為集團根據日本法律註冊成立的附屬公司。就公司所知，WI Graphene由WI Capital Co. Ltd全資擁有。WI Capital由公司透過China Graphene Holdings Ltd全資及間接擁有。
在WI Capital及WI Graphene於2018年下半年停止營運前，公司一直向其提供營運資金以支持其於日本開展石墨烯製造業務。尤其是，公司已於2016年8月向WI Capital匯入一筆金額為8億日元的資金。
倘確如Futohashi先生所稱發生了涉嫌轉讓事件，公司將於日本採取一切必要的法律行動，以追回被非法處置的其於WI Graphene名下的資產。無論如何，監於2018年已於集團年度財務報表中撇銷物業、廠房及設備的預付款項約5500萬港元，故不會對集團的財務狀況產生任何重大影響。
公司已促使WI Capital於2020年8月28日通過股東決議案，委任其提名人董事加入WICapital董事會，以取代Futohashi先生。然而，該委任程序無法完成，原因為Futohashi先生堅持拒絕交出WI Capital的公司印監，而於日本有關機構登記董事變更，公司印監乃必須的。經考慮涉嫌轉讓事件，公司認為其已喪失對WI Capital及 WI Graphene的控制權。
監於本次涉嫌轉讓事件的嚴重性，即WI Capital從未獲得集團對WI Graphene股權轉讓的批准，及Futohashi先生可能侵佔了屬於集團資產的轉讓款，公司已迅速作出行動，委任日本律師於2020年9月18日向日本警方報案。公司的日本律師已就涉嫌轉讓事件與警方約定於2020年9月29日會面，並將於當日向警方提交該事件的正式報告。公司將就公司於日本的法律行動及警方調查的最新進展知會公司股東及潛在投資者。
