錦富技術(300128.SZ)：擬收購久泰精密70%股權 明起復牌
格隆匯 9 月 17日丨錦富技術(300128.SZ)公佈，公司擬通過發行股份及支付現金的方式購買寧欣、永新嘉辰合計持有的久泰精密70%的股權，其中以發行股份方式受讓寧欣持有的久泰精密42%股權，以支付現金的方式受讓永新嘉辰持有的久泰精密28%股權。同時向不超過35名特定投資者非公開發行股份募集配套資金。
此次募集配套資金以發行股份及支付現金購買資產為前提條件，但募集配套資金成功與否並不影響發行股份及支付現金購買資產的實施。
截至預案簽署日，此次交易標的的審計、評估工作尚未完成，交易各方初步商定標的公司100%股權預估價值為8億元。
此次發行股份購買資產的發股價格為3.40元/股，不低於定價基準日前20、60、120個交易日股票均價的80%。據此計算，錦富技術擬向久泰精密全體股東發行股份的數量為9882.3529萬股。
公司擬非公開發行股份募集配套資金，募集配套資金總額不超過3.36億元，不超過本次交易中以發行股份方式購買資產的交易價格的100%。此次募集配套資金擬用於支付本次交易的現金對價，以及補充上市公司流動資金，用於補充流動資金的比例將不超過交易作價的25%，或不超過募集配套資金總額的50%。
此次交易的業績承諾期為2020年度、2021年度及2022年度。寧欣承諾標的公司2020年度、2021年度及2022年度的經審計的淨利潤(扣除非經常性損益前後歸屬於母公司所有者淨利潤的孰低者)累計不低於2.4億元。
上市公司自成立以來，消費電子領域精密模切器件始終是公司主營業務，與標的公司處於同行業。2010年上市以後，上市公司逐步開啟多元化發展戰略，模切器件成為眾多業務板塊的一部分。2019年完成實際控制人變更後，上市公司開始集中優勢資源發展傳統主業，剝離無關副業。此次交易完成後，上市公司進一步聚焦主業，模切產品的市場規模得以提升。
公司將於2020年9月18日開市起復牌。
