申萬宏源(000166.SZ):申萬宏源證券及其子公司申萬宏源承銷保薦已完成經營範圍變更工商登記
格隆匯 9 月 16日丨申萬宏源(000166.SZ)公佈,公司所屬全資子公司申萬宏源證券有限公司(以下簡稱“申萬宏源證券”)為順應業務發展需要，促進大投行條線在牌照、人力、客户等資源配置的進一步優化，支持業務發展，提升業務效率，於2020年3月26日召開申萬宏源證券第一屆董事會第五十八次會議，審議通過《關於公司債承銷牌照劃轉至申萬宏源證券有限公司的議案》，已經公司出具了同意的股東決定。根據該議案，申萬宏源證券和其子公司申萬宏源證券承銷保薦有限責任公司(以下簡稱“申萬宏源承銷保薦”)將辦理營業執照和經營證券期貨業務許可證的變更，將除可轉換債券外的債券品種的證券承銷業務歸入申萬宏源證券的經營範圍，申萬宏源承銷保薦的證券承銷與保薦業務在債券品種方面僅保留可轉換債券。此事項已分別經中國證監會上海監管局《關於核准申萬宏源證券有限公司變更業務範圍的批覆》(滬證監許可[2020]27號)和中國證監會新疆監管局《關於核准申萬宏源證券承銷保薦有限責任公司減少除可轉換公司債券以外的債券承銷業務的批覆》(新證監許可[2020]5號)同意。
近期，申萬宏源證券及其子公司申萬宏源承銷保薦完成了上述經營範圍變更的工商登記變更手續和《章程》相應條款的備案，換領了新的《營業執照》，取得了中國證券監督管理委員會頒發的新《經營證券期貨業務許可證》。
申萬宏源證券變更前：證券經紀；證券投資諮詢；融資融券；代銷金融產品；證券投資基金代銷(以上各項業務限新疆、甘肅、陝西、寧夏、青海、西藏以外區域)；證券資產管理；證券承銷與保薦(限國債、非金融企業債務融資工具、政策性銀行金融債、企業債承銷)；證券自營(除服務新疆、甘肅、陝西、寧夏、青海、西藏區域證券經紀業務客户的證券自營外)；股票期權做市；證券投資基金託管。
變更後：證券經紀；證券投資諮詢；融資融券；代銷金融產品；證券投資基金代銷(以上各項業務限新疆、甘肅、陝西、寧夏、青海、西藏以外區域)；證券資產管理；證券承銷(限除可轉換債券以外的各類債券品種)；證券自營(除服務新疆、甘肅、陝西、寧夏、青海、西藏區域證券經紀業務客户的證券自營外)；股票期權做市；證券投資基金託管。
申萬宏源承銷保薦變更前：證券承銷與保薦(國債、非金融企業債務融資工具、政策性銀行金融債、企業債承銷業務除外)，與證券交易、證券投資活動有關的財務顧問。
變更後：證券承銷(不含除可轉換債券以外的債券品種)與保薦，與證券交易、證券投資活動有關的財務顧問。
