重慶鋼鐵(601005.SH)：控股股東權益變動 實控人變更為中國寶武
格隆匯9月16日丨重慶鋼鐵(601005.SH)公佈，2020年9月16日，四源合產業發展基金與中國寶武、德勝集團關於非現金分配四源合產業發展基金持有的重慶長壽鋼鐵有限公司(簡稱“長壽鋼鐵”，公司控股股東)75%股權簽署《股權轉讓協議》，約定在四源合投資向德勝集團轉讓四源合產業基金份額的同時一併解散四源合產業發展基金，並將四源合產業發展基金所持有的長壽鋼鐵股權向中國寶武、德勝集團進行非現金分配。
2020年9月16日，中國寶武與重慶戰略性新興產業股權投資基金合夥企業(有限合夥)(簡稱“戰新基金”，公司間接控股股東的股東)、重慶渝富資本股權投資基金管理有限公司(簡稱“渝富資本”，戰新基金的執行事務合夥人)簽署《一致行動協議》，各方同意，戰新基金作為長壽鋼鐵的股東，按照《一致行動協議》約定與中國寶武保持一致行動，按照中國寶武的意見行使戰新基金在長壽鋼鐵的股東權利，以確保中國寶武取得對長壽鋼鐵和重慶鋼鐵的實際控制。渝富資本促使戰新基金按《一致行動協議》約定與中國寶武保持一致行動。
公司原實際控制人四源合投資向德勝集團轉讓四源合產業發展基金的合夥權益，同時四源合產業發展基金解散並將公司控股股東長壽鋼鐵75%股權按實繳出資比例向中國寶武與德勝集團進行非現金分配，中國寶武分配獲得長壽鋼鐵40%股權並與戰新基金達成一致行動協議取得長壽鋼鐵的控制權，從而間接控制公司20.97億股股份，佔公司總股本的23.51%，中國寶武成為公司的實際控制人。
本次權益變動前，公司的控股股東為長壽鋼鐵，實際控制人為四源合投資，四源合投資通過控制長壽鋼鐵間接擁有公司20.97億股股份權益，佔公司總股本的23.51%。本次權益變動前，中國寶武為四源合產業發展基金的有限合夥人，出資額比例為53.33%，戰新基金持有長壽鋼鐵25%股份，寶武與集團戰新基金均未直接或間接控制公司的權益。
本次權益變動完成後，中國寶武及其一致行動人戰新基金通過長壽鋼鐵間接控制公司20.97億股股份，佔公司總股本的23.51%，中國寶武成為公司的實際控制人。
