斯迪克(300806.SZ)擬與沃能共設蘇州斯迪克汽車裝飾材料有限公司
格隆匯 9 月 14日丨斯迪克(300806.SZ)公佈，公司於2020年7月16日召開第三屆董事會第十二次會議，審議通過《關於對外投資設立寧波控股子公司的議案》。在推進合作項目過程中，公司與合作方寧波沃能新材料科技有限公司考慮到將控股子公司設立在江蘇省太倉市更有利於後續業務開展。為此，公司提請設立蘇州控股子公司(“標的公司”)，原來擬設寧波控股子公司不再設立，與合作方寧波沃能新材料科技有限公司簽訂新的《項目投資協議》，原簽署的《項目投資協議》作廢。
公司於2020年9月14日召開了第三屆董事會第十四次會議，審議通過了《關於對外投資設立蘇州控股子公司暨調整擬設寧波控股子公司的議案》。
公司名稱：蘇州斯迪克汽車裝飾材料有限公司；註冊資本：1000萬元人民幣；出資情況：公司出資510萬元人民幣，佔註冊資本的51%，沃能出資490萬元人民幣，佔註冊資本的49%，雙方均以貨幣出資；經營範圍：一般項目：新型膜材料銷售；塑料製品銷售；合成材料銷售；電子專用材料銷售；電子專用材料研發；表面功能材料銷售；信息諮詢服務(不含許可類信息諮詢服務)；汽車零配件批發；汽車零配件零售；橡膠製品銷售(除依法須經批准的項目外，憑營業執照依法自主開展經營活動)。
公司自成立以來專注於利用塗布工藝生產多功能塗層複合產品，專業從事膠粘製品的研發、生產與銷售。經過多年不斷地開拓、創新，公司在技術、生產方面取得了不少自有專利成果，形成了多項技術儲備。
通過此次對外投資，充分利用雙方的資源和市場優勢，快速佈局汽車領域，進一步鞏固、擴大斯迪克技術、研發、產品、規模等各方面的優勢，加速技術產業化，延伸產品應用領域，調整產品結構，提升公司綜合競爭實力。
此次對外投資符合公司產業發展戰略，有利於拓展公司綜合業務，進一步提升公司盈利能力和市場綜合競爭力。
