雪峯科技(603227.SH)：擬向控股股東非公開發行不超6587萬股 完成後其持股比例升至37.01%
格隆匯 9 月 14日丨雪峯科技(603227.SH)公佈，公司擬向公司控股股東新疆雪峯投資控股有限責任公司(以下簡稱“雪峯控股”)非公開發行A股股票(以下簡稱“本次非公開發行”)，本次權益變動不會導致公司控制權發生變化。
公司於2020年5月31日召開的第三屆董事會第十六次會議、於2020年6月22日召開的2020年第二次臨時股東大會審議通過了2020年度非公開發行股票相關事項的議案。2020年9月14日，公司召開第三屆董事會第十八次會議審議通過了修訂2020年度非公開發行股票相關事項的議案。
公司本次非公開發行股票數量不超過6587萬股(含6587萬股)，佔公司本次發行前總股數的10%，最終將以中國證監會核准的發行數量為準，募集資金總額(含發行費用)不超過人民幣198268700元(含)。公司與控股股東雪峯控股於2020年5月31日簽署了《新疆雪峯科技(集團)股份有限公司與新疆雪峯投資控股有限責任公司關於新疆雪峯科技(集團)股份有限公司2020年度非公開發行股票之附條件生效股份認購合同》。2020年9月14日，公司與雪峯控股簽訂了《新疆雪峯科技(集團)股份有限公司與新疆雪峯投資控股有限責任公司關於新疆雪峯科技(集團)股份有限公司2020年度非公開發行股票之附條件生效股份認購合同的補充協議》。
截至公告日，雪峯控股持有公司2.02285904億股股份，佔公司總股本的30.71%，為公司控股股東。根據本次非公開發行方案及相關安排進行測算，本次非公開發行完成後，雪峯控股持有的公司股份數將由202,285,904股增加至268,155,904股，佔發行後公司總股本的37.01%，仍為公司的控股股東。本次權益變動不會導致公司控股股東及實際控制人發生變化。
本次非公開發行股票尚需取得新疆維吾爾自治區人民政府國有資產監督管理委員會(簡稱“新疆國資委”)批准、中國證券監督管理委員會的核準。
