基石控股(01592.HK)擬以作價7,650萬元收購2間公司
基石控股(01592.HK)公布就有關一項潛在收購事項的諒解備忘錄,有關向賣方收購兩間公司的事宜,初步釐定交易作價為約7,650萬元,擬由公司根據發行新股份之一般授權向賣方發行可換股債券的方式結付。
目標公司正在與一家位於中國的房地產及物業開發集團,磋商一項戰略性合同;目標公司將會成為該中國企業集團若干個位於中國的物業開發項目的獨家建材供應商。據悉該草擬的戰略性合同將會是三年期,及總合同金額將為每項目約1億元人民幣。
