碧水源(300070.SZ)：良業科技擬增資擴股 引入戰略投資者
格隆匯 9 月 13日丨碧水源(300070.SZ)公佈，公司持股90.01%的控股子公司良業科技集團股份有限公司(“良業科技”)擬通過增資擴股方式引入戰略投資者。
2020年9月12日，公司與寧波梅山保税港區良益誠創業投資合夥企業(有限合夥)(“良益誠”)、山東良創碧水股權投資基金合夥企業(有限合夥)(“良創碧水”)、山東光視科技創新發展合夥企業(有限合夥)(“光視科技”)、山東建融中天股權投資基金合夥企業(有限合夥)(“建融中天”)、深圳建鑫天然環境基金企業(有限合夥)(“建鑫天然”)共同簽訂《關於良業科技集團股份有限公司之增資協議》及《關於良業科技集團股份有限公司之增資協議補充協議》；公司與良益誠簽署《協議書》。
良創碧水、光視科技、建融中天、建鑫天然以下合稱“增資方”。公司與良益誠以下合稱“現有股東”。
增資方擬按照上述協議的條款和條件對公司進行投資，現有股東放棄此次優先認繳出資權，並承諾同意按照上述協議約定接受增資方的此次投資。
此次良業科技擬增資約15億元人民幣。其中，良創碧水以約1.45億元認購良業科技新增股份582.0955萬股，佔增資後良業科技3.22%股權；光視科技以約8.10億元認購良業科技新增股份3251.7061萬股，佔增資後良業科技18.00%股權；建融中天以約4億元認購良業科技新增股份1605.7808萬股，佔增資後良業科技8.89%的股權；建鑫天然以約1.45億元認購良業科技新增股份582.0955萬股，佔增資後良業科技3.22%的股權。
此次增資完成後，良業科技的註冊資本將由12044.36萬元增至18066.04萬元，良業科技現有股東公司及良益誠放棄本輪增資的優先認繳出資權。本輪增資擴股後，公司的持股比例由90.01%變更為60.01%，良益誠的持股比例由9.99%變更為6.66%。
