金智科技(002090.SZ)：擬與控股股東簽署委託管理協議 不再將乾智能源、乾慧能源納入合併報表範圍
格隆匯 9 月 11日丨金智科技(002090.SZ)公佈，根據公司降槓桿、去風險、聚焦主營業務的發展戰略，綜合考慮新能源的產業政策、新能源電站的重資產屬性等因素，公司未來擬在符合法律法規、行業監管要求的前提下將現有風電場項目整體轉讓。
2020年7月中旬，新疆爆發了新一輪新冠疫情，公司新疆昌吉木壘老君廟風電場二期(250MW)項目(“木壘二期風電場項目”)的建設受到諸多影響，項目能否如期併網發電存在一定不確定性。與此同時，項目建設的大額融資也使得公司資產負債率明顯升高，融資利息的支付還將對公司盈利能力造成不利影響。
為了控制公司風險，保障公司穩定健康發展，公司擬將木壘二期風電場項目所屬項目公司木壘縣乾智能源開發有限公司(“乾智能源”)、木壘縣乾慧能源開發有限公司(“乾慧能源”)的經營管理權及併網發電後的項目公司股權處分等事項的全權委託江蘇金智集團有限公司(“金智集團”)管理，公司、乾智能源、乾慧能源與金智集團將就此簽署《委託管理協議》。
委託管理實施後，乾智能源、乾慧能源的經營風險和可變收益均轉由金智集團承擔，公司不再將乾智能源、乾慧能源納入合併報表範圍。
此次委託管理的木壘二期風電場項目涉及資產總額136681.99萬元、淨資產44997.81萬元(以2020年8月31日為基準日，根據具有證券服務業務資格的天衡會計師事務所(特殊普通合夥)對乾智能源、乾慧能源兩家項目公司的審計報告確定)，分別佔公司2019年末經審計總資產、淨資產的37.02%、34.55%。
此次交易對手方金智集團為公司控股股東，此次交易構成關聯交易。根據《深圳證券交易所股票上市規則》、《公司章程》、公司《關聯交易管理制度》等相關規定，此次交易需提交股東大會審議，並經出席會議的股東所持表決權的三分之二以上通過，且關聯股東需迴避表決。
