大北農(002385.SZ)擬5782.29萬元收購益嬰美70%股權並向其增資5000萬元
格隆匯 9 月 11日丨大北農(002385.SZ)公佈，公司為了抓住內循環結構性調整帶來的民族品牌戰略發展機遇，滿足國人迅速增長的有機品質乳品的生活需求；為了在農業產業鏈縱向一體化進行積極有效的探索，順應農業產業品牌化、專業化的發展趨勢；也為了中國奶業的振興和乳品質量的提高，擬以自有資金約5782.29萬元收購內蒙古益嬰美乳業有限公司(“益嬰美”、“標的公司”)70%的股權(標的公司轉讓前註冊資本為1億元)，並向標的公司增資人民幣5000萬元。股權轉讓及增資完成後，標的公司註冊資本為1.5億元，公司將持有標的公司80%的股權，聖牧高科持有標的公司20%的股權，益嬰美乳業成為公司的控股子公司。此次交易涉及股權轉讓及增資的合計金額為約1.08億元。
此次交易，符合大北農創建世界級農業科技企業的戰略規劃。農業始終是大北農27年以來紮根和深耕的主業，農業科技創新始終是公司發展的依託和根本，目前主營業務包括飼料、養豬、疫苗、作物和農業互聯網等產業。伴隨着城市化進程的加快和市場化競爭的加劇，同時也為了抓住內循環內驅動的結構性調整帶來的機會，大北農積極把握農業食品消費領域的機會，將農業產業鏈做深、做細、做長，產出專業化、品牌化、品質化的優質產品。此次與有機奶龍頭企業聖牧高科的深度結合，有利於發揮公司立足高端產品、農業科技研發、農業防疫技術方面的優勢，以實現養殖產業鏈、種植產業鏈深度融合，乳業產業鏈的有效補充，滿足百姓“從田間到餐桌”的多樣化需求。
根據包商研究院的數據，2018年，我國乳製品市場總銷售額超過3500億元，高端有機奶需求在逐步釋放，未來三年將有500億的空間待釋放。由於益嬰美上一年度未實現盈利，疊加國內外因素的影響，此次交易價格雙方都較為滿意。大北農此次攜手聖牧高科，秉承“讓沙漠變成綠洲，讓國人喝上好有機奶”的理念，緊密結合奶業振興和提高奶品質量的政策目標，強強結合，必將為中國有機奶行業的發展寫上歷史性的一筆。
此次交易有利於發揮雙方的資源優勢。聖牧有機奶是中國最早獲得歐盟有機認證的有機奶，同時，也是首家獲得國內、國際“雙認證”(歐盟有機認證和中國中綠華夏有機認證)的牛奶品牌，並連續八屆奪得“國際有機食品博覽會金獎”。此次公司通過股權受讓及增資益嬰美，實現和聖牧品牌的強強聯合，發揮有機奶的核心優勢，充實國產高端有機奶粉陣營，壯大民族有機奶粉品牌，共創國內最佳有機奶粉品牌，讓國人喝上放心有機奶。
