盛業資本(06069.HK)擬先舊後新配售最多5550萬股 淨籌約3.83億港元
格隆匯 9 月 11日丨盛業資本(06069.HK)發佈公告，2020年9月11日(交易時段前)，公司、公司控股股東慧普有限公司(作為賣方)與聯席配售代理(麥格理資本、星展及中銀國際)訂立配售協議，據此，賣方同意透過聯席配售代理按每股7.00港元的配售價配售最多5550萬股現有配售股份。
配售股份相當於公司現有已發行股本的約6.30%及經認購事項擴大後公司已發行股本的約5.93%。配售股份將由聯席配售代理按每手500股配售予不少於六名獨立承配人。配售價每股7.00港元較最後交易日收市價8.25港元折讓約15.15%。
此外，2020年9月11日(交易時段前)，賣方與公司亦訂立認購協議，據此，賣方有條件同意認購公司發行的認購股份。假設配售股份獲悉數配售，則認購股份相當於公司現有已發行股本的約6.30%及經認購事項擴大後公司已發行股本的約5.93%。
公司將向聯交所申請批准認購股份上市及買賣，認購股份將根據一般授權配發及發行。認購事項須待配售事項已根據配售協議的條款完成及聯交所同意批准認購股份上市及買賣達成後方告完成。
認購事項的所得款項總額最多將為3.885億港元，認購事項的所得款項淨額最多約3.83億港元，其中約3.639億港元將用作擴充集團的供應鏈融資營運(反映於集團的一般營運資金)，約1910萬港元將用於提升集團的自主研發的網上保理平台、數字化企業服務能力及數據驅動的風控系統。
公告表示，集團計劃將所得款項用作增加市場份額、提升產品創新以向中小企業客户提供較佳體驗感以及促進供應鏈融資生態系統的轉型。利用其金融科技實力的進一步提升，集團通過提供一系列金融科技解決方案，探索與更多核心商業夥伴和中小微企業客户的創新合作方式，以創建一個數據驅動的生態體系，使供應鏈金融更具靈活性和成本效益。
