通化東寶(600867.SH)：德弘開遠將間接持有公司約9%的股份
格隆匯 9 月 10日丨通化東寶(600867.SH)公佈，公司於2020年9月10日收悉，東寶集團、東寶生物科技、德弘開遠、德弘鈺泰簽署《合夥份額轉讓協議》，約定：東寶集團向德弘鈺泰轉讓其持有天津楨逸企業管理諮詢合夥企業(有限合夥)(“天津楨逸”)的全部合夥權益，即佔天津楨逸全部合夥權益的99.9996%(對應人民幣約22.97億元的實繳出資額)，該等權益對應的轉讓價格約19.40億元；東寶生物科技向德弘開遠轉讓其持有天津楨逸的全部合夥權益，即天津楨逸全部合夥權益的0.0004%(對應人民幣1萬元的實繳出資額)，該等權益對應的轉讓價格為1萬元。
此次權益變動前，東寶集團直接持有公司591,699,387股無限售流通股，約佔公司總股本的29.09%；東寶集團、東寶生物科技通過天津楨逸間接持有公司183,058,967股無限售流通股，約佔公司總股本的9%。德弘開遠、德弘鈺泰未直接持有公司股份。
此次權益變動後，東寶集團、東寶生物科技不再通過天津楨逸間接持有公司股份，東寶集團仍持有公司591,699,387股無限售流通股，約佔公司總股本的29.09%。德弘開遠、德弘鈺泰將合計持有天津楨逸100%的合夥權益，德弘開遠作為德弘鈺泰、天津楨逸的普通合夥人和執行事務合夥人間接持有公司183,058,967股無限售流通股，約佔公司總股本的9%。
東寶集團向受讓方承諾，上市公司2021年度至2023年度(“業績承諾期”)的年度經審計淨利潤)淨利潤指扣除非經常性損益後的歸屬於母公司股東的淨利潤，下同)應分別不低於10.5億元、12億元和13.5億元)“2023年承諾淨利潤”)，且三年累計經審計淨利潤不低於36億元(“業績承諾期累計承諾淨利潤”)。
受讓方作為專業投資機構，在消費品和農業、高端製造、商業服務、金融服務以及醫藥醫療領域有廣泛的投資。本次份額轉讓完成後，作為上市公司的重要股東，受讓方將積極的為上市公司發展提供助力，包括促進受讓方投資企業與上市公司開展合作，協助引進有協同性的戰略資源，幫助上市公司優化治理結構、改善激勵機制、提高戰略規劃能力和資本運作能力以及進行運營管理提升等，以實現上市公司持續高質量發展。
交割完成後，天津楨逸有權提名2名非獨立董事並經上市公司內部程序審議後成為上市公司的董事；轉讓方將支持天津楨逸提名的董事獲選為上市公司董事。若天津楨逸持有的上市公司股份比例降低至7.5%以下但不低於5%，天津楨逸有權保留1名非獨立董事提名權；若天津楨逸持有的上市公司股份比例降低至5%以下，則前述約定自動終止。
