*ST雪萊(002076.SZ)：董事長施新華辭職 選舉冼樹忠為董事長
格隆匯 9 月 9日丨*ST雪萊(002076.SZ)公佈，公司董事會於近日收到施新華提交的書面辭職報告。施新華因個人原因，決定辭去公司董事及相關職務(董事長、戰略委員會委員、提名委員會委員)，將不再在公司擔任任何職務，其辭職報告自送達董事會之日起生效。
公司已於2020年9月9日召開第五屆董事會第五十次會議，選舉冼樹忠為公司第五屆董事會董事長。根據公司章程，董事長為公司法定代表人，公司將盡快完成法定代表人的工商變更登記工作。
公司於2020年4月14日公告了《2020年度非公開發行A股股票預案》，施新華擬認購此次發行的全部股份。按照此次發行股票數量229,233,910股測算，發行完成後，施新華將直接持有公司23.08%的股份，成為公司的第一大股東、新的實際控制人。此次非公開發行事項已經公司董事會、股東大會審議通過，尚需中國證監會的核準，具體內容可見公司前期公告。上述事項存在一定的不確定性，公司將根據有關法律法規及事項進展情況，及時履行信息披露義務。截至本公告披露日，公司尚未向中國證券監督管理委員會提交本次非公開發行的行政許可申請材料，公司也尚未收到施新華有關本次非公開發行認購事項發生變化的信息。
公司於2020年6月6日公告了《關於董事長增持公司股份計劃的公告》，施新華擬增持公司股份不低於2000萬股，不超過3500萬股，實施期限為自增持計劃披露之日起不超過6個月。截至2020年9月8日，施新華尚未實施增持。
公司將密切關注此次非公開發行、施新華認購及其增持公司股份等事項的進展情況，並及時履行信息披露義務。
冼樹忠，中國公民，男，1962年生，參與研發的“大功率節能燈項目”通過輕工部鑑定，參與研發的“緊湊型節能燈”被評為雲南省新產品三等獎，在電光源行業擁有27年的從業經驗。1981年9月至1993年1月，歷任雲南省箇舊市燈泡廠生產線長、熒光燈分廠工會主席；1993年2月至2004年10月，歷任南海華星銷售部經理、總經理助理、計劃部長、廣東華星副總經理。2004年10月至2018年1月，任公司董事、董事會祕書。現任公司董事。
