燕塘乳業(002732.SZ)擬變更經營範圍 增加“食品科學技術研究服務”等
格隆匯 9 月 9日丨燕塘乳業(002732.SZ)公佈，公司於2020年9月9日召開第四屆董事會第五次會議和第四屆監事會第五次會議，分別審議通過《關於變更經營範圍暨修訂<公司章程>的議案》。鑑於公司吸收合併全資子公司廣東燕隆乳業科技有限公司，為更好開展業務，公司擬變更經營範圍。具體以廣東省市場監督管理局核定登記、備案為準。
鑑於公司擬變更經營範圍，根據《中華人民共和國公司法》及其他相關法律、法規及規範性文件的要求，對《公司章程》對應內容進行修訂，具體如下：
修訂前：第十三條公司的經營宗旨為市場導向，科技領先，質量第一，顧客至上。公司貫徹落實創新、協調、綠色、開放、共享的發展理念，積極履行社會責任。
經依法登記，公司的經營範圍為：生產、銷售乳製品：[液體乳(巴氏殺菌乳、調製乳、滅菌乳、發酵乳)]、飲料(蛋白飲料類)；生鮮乳收購(以上項目憑本公司有效許可證經營)；乳製品生產技術服務；收購農產品用作奶牛飼料、飼料原料；生產及銷售生鮮乳(限於自養奶牛生奶)；自有物業出租；自有停車場經營；牧場富餘牧草的銷售；奶粉銷售(非嬰幼兒奶粉)；貨物進出口(限生鮮乳及乳製品)。以下由分支機構經營：奶牛、種牛養殖及銷售；與奶牛養殖有關的草類的種植及銷售；與奶牛養殖有關的有機肥的生產及銷售；批發兼零售：預包裝食品、乳製品(不含嬰幼兒配方乳粉)。(依法須經批准的項目，經相關部門批准後方可開展經營活動。)

經依法登記，公司的經營範圍為：生產、銷售乳製品：[液體乳(巴氏殺菌乳、調製乳、滅菌乳、發酵乳)]、飲料(蛋白飲料類)；生鮮乳收購(以上項目憑本公司有效許可證經營)；食品科學技術研究服務；收購農產品用作奶牛飼料、飼料原料；生產及銷售生鮮乳(限於自養奶牛生奶)；自有物業出租；自有停車場經營；牧場富餘牧草的銷售；奶粉銷售(非嬰幼兒奶粉)；貨物進出口(專營專控商品除外)；機械設備租賃；會議及展覽服務；糕點、糖果及糖批發；預包裝食品零售；預包裝食品批發。以下由分支機構經營：奶牛、種牛養殖及銷售；與奶牛養殖有關的草類的種植及銷售；與奶牛養殖有關的有機肥的生產及銷售；商品批發貿易(許可審批類商品除外)；商品零售貿易(許可審批類商品除外)；非酒精飲料及茶葉零售。(依法須經批准的項目，經相關部門批准後方可開展經營活動。)
