光啟技術(002625.SZ)：信披違規收到浙江證監局警示函
格隆匯 9 月 8日丨光啟技術(002625.SZ)公佈，公司於2020年9月7日收到中國證監會浙江監管局下發的《關於對光啟技術股份有限公司及相關人員採取出具警示函措施的決定》(【2020】第79號)(以下簡稱“《警示函》”)，現將相關情況公告説明如下：
一、警示函內容
光啟技術股份有限公司、劉若鵬、趙治亞、張洋洋：
我局發現光啟技術存在以下問題：
2018年1月至2020年5月，公司存在以定期存單形式為控股股東關聯方深圳光啟創新技術有限公司、深圳光啟合眾科技有限公司提供擔保的情況，總計12.15億元。上述擔保未履行審批程序，且未按相關規定履行信息披露義務。
上述行為違反了《上市公司信息披露管理辦法》第二條、第三十條的相關規定，公司董事長劉若鵬、總經理趙治亞、財務總監兼董事會祕書張洋洋違反了《上市公司信息披露管理辦法》第三條的規定，對上述違規行為負有主要責任。按照《上市公司信息披露管理辦法》第五十八條、第五十九條的有關規定，我局決定對你們採取出具警示函的監督管理措施，並記入證券期貨市場誠信檔案。公司應充分吸取教訓，加強相關法規學習，提高規範運作意識，認真履行信息披露義務；董事、監事、高級管理人員應當履行勤勉盡責義務，促使公司規範運作，並保證信息披露的真實、準確、完整、及時、公平。公司應當在2020年9月30日前向我局提交書面整改報告，杜絕今後再次發生此類違規行為。
如果對本監督管理措施不服，可以在收到本決定書之日起60日內向中國證券監督管理委員會提出行政複議申請，也可以在收到本決定書之日起6個月內向有管轄權的人民法院提出訴訟。複議與訴訟期間，上述監督管理措施不停止執行。
二、相關説明
上述擔保已於2020年5月解除，未對公司經營產生實際影響。公司及相關責任人收到警示函後，高度重視警示函中指出的問題，公司及相關責任人將充分吸取教訓，切實加強對證券法律法規的學習，提高規範運作意識，堅決遵循上市公司信息披露規範要求；同時公司董事、監事、高級管理人員將認真履行勤勉盡責義務，促使公司規範運作，杜絕上述事項再次發生，不斷提高信息披露質量，維護公司及全體股東利益，促進公司健康、穩定、持續發展。
公司將按照要求，儘快向浙江證監局提交書面整改報告。公
