東信和平(002017.SZ)：擬受讓珠海通50%股權
格隆匯 9 月 8日丨東信和平(002017.SZ)公佈，東信和平科技股份有限公司(“東信和平或公司”)於2020年4月23日召開第六屆董事會第二十三次會議，會議審議通過了《關於合資公司減資的議案》，公司及北京億速碼數據處理有限責任公司(“北京億速碼”)同比例對合資公司城聯數據有限公司(“城聯數據”)進行減資，其中公司減少認繳出資額4000萬元，因公司前期已全額實繳認繳註冊資本，故此次減資應獲得的減資款退回金額為4000萬元；另一股東北京億數碼減少認繳出資額4000萬元，因其該部分資金尚未實繳，故不涉及向其退回出資的情況。減資後，城聯數據的註冊資本由1.4億元減少至6000萬元，股東雙方持股比例不變，公司仍持有其50%的股權。
由於城聯數據無法全部以貨幣資金的方式向公司支付4000萬元減資退回款，經城聯數據與公司、北京億速碼協商，城聯數據擬以其持有的珠海市珠海通科技有限公司(“珠海通”)50%的股權評估抵價結合現金支付的方式向公司合計支付4000萬元減資款，其中以股權抵減3020.53萬元，其餘以現金支付公司。此次股權抵減金額以中水致遠資產評估有限公司出具的《資產評估報告》(中水致遠評報字[2020]第050012號)為依據確定，根據該評估報告，以2019年12月31日為評估基準日，城聯數據持有的珠海通50%的股權評估價值為3020.53萬元。此次公司受讓珠海通50%股權後，珠海通將由公司孫公司變更為子公司，城聯數據將不再持有珠海通股權。珠海通不納入公司合併報表範圍，公司合併報表範圍未發生變化。
此次交易完成後，公司將持有珠海通50%的股權，珠海通作為珠海市特許以城市公交運營平台為主的高新企業，目前主要業務以銷售公交卡和結算服務費為主，未來珠海通將以交通(公交)支付行業為基礎，致力打造成為珠海本地及粵港澳地區較有影響力的公共服務平台，實現從“城市一卡通”到“大灣區互聯互通”，有利於公司構建直接面向大灣區智慧城市互聯互通入口平台。
