合誠股份(603909.SH)：廈門市國資委將成為公司實控人
格隆匯 9 月 8日丨合誠股份(603909.SH)公佈，公司擬向廈門聯發投資有限公司(“聯發投資”)非公開發行2600萬股A股股票。其中，聯發投資擬以現金人民幣3.952億元認購2600萬股。2020年9月7日，合誠股份與聯發投資簽署了《附條件生效的股份認購協議》。
2020年9月7日，聯發投資與公司股東黃和賓、劉德全、高瑋琳、康明旭、劉志勛、郭梅芬、沈志獻簽署了《股份轉讓協議》，約定聯發投資擬通過協議轉讓方式收購公司股東黃和賓、劉德全、高瑋琳、康明旭、劉志勛、郭梅芬與沈志獻(以上合稱為“原股東”)合計持有的公司873.25萬股股份，佔公司總股本的6.10%，每股轉讓價格為23.39元，轉讓價款為2.04億元。
同時，《股份轉讓協議》約定：聯發投資與原股東有意向，在法律法規允許的時間內將原股東合計持有的1563.5591萬股股份繼續轉讓給聯發投資(“後續股份轉讓”)，交易價格根據屆時上海證券交易所協議轉讓定價規則確定股份轉讓的定價基準及最終交易價格；如後續股份轉讓的最終交易價格導致此次股份轉讓與後續股份轉讓的總價款超過5.7億元，雙方同意根據上市公司股票價格波動情況適時調整後續股份轉讓價格確定條件和/或轉讓時機，以確保聯發投資本次股份轉讓與後續股份轉讓的總價款不超過5.7億元。同時，雙方確保在執行後續股份轉讓過程中聯發投資合計持有表決權比例不超過30%。
同日，聯發投資與黃和賓、康明旭、劉志勛、郭梅芬、沈志獻簽署了《表決權委託協議》，約定黃和賓、康明旭、劉志勛、郭梅芬與沈志獻將其合計持有的合誠股份1996.75萬股股份(佔公司總股本的13.94%，如黃和賓、康明旭、劉志勛、郭梅芬與沈志獻按照《股份轉讓協議》的約定將轉讓股份過户至聯發投資證券賬户，則前述表決權委託股份相應調整為黃和賓、康明旭、劉志勛、郭梅芬與沈志獻轉讓後剩餘股份)的表決權委託給聯發投資，委託期間自《股份轉讓協議》生效之日起，在下列情形孰早發生時終止：(1)黃和賓、康明旭、劉志勛、郭梅芬與沈志獻已按《股份轉讓協議》的約定完成後續股份轉讓；(2)雙方書面達成一致同意終止本協議。
聯發投資與劉德全、高瑋琳簽署了《表決權放棄協議》，約定劉德全、高瑋琳放棄其持有的合誠股份1496.25萬股股份的表決權(佔公司總股本的10.45%，如劉德全、高瑋琳按照《股份轉讓協議》的約定將轉讓股份過户至聯發投資證券賬户，則前述表決權放棄股份相應調整為劉德全、高瑋琳轉讓後剩餘股份)，棄權期間自《股份轉讓協議》生效之日起，在下列情形孰早發生時終止：(1)劉德全、高瑋琳已按《股份轉讓協議》的約定完成後續股份轉讓；(2)雙方書面達成一致同意終止本協議。
聯發投資將通過協議受讓公司股份、獲得表決權委託及相關方放棄表決權等方式實現對公司的實際控制，廈門市國資委將成為公司實際控制人。此次股份轉讓實施、表決權委託生效且此次非公開發行完成後，聯發投資合計持有公司表決權比例為29.37%，未超過公司總股本的30%，此次權益變動不涉及要約收購。
