精功科技(002006.SZ)：控股股東及相關當事人受到深交所通報批評處分、 控股股東相關董事受到書面警示
格隆匯 9 月 8日丨精功科技(002006.SZ)公告，公司控股股東精功集團有限公司及其相關當事人於2020年9月8日分別收到了深圳證券交易所(以下簡稱“深交所”)下發的深證上[2020]818號《關於對精功集團有限公司及相關當事人給予通報批評處分的決定》(以下簡稱“《決定》”)、深交所固定收益部下發的固收部監管函[2020]第3號《關於對精功集團有限公司相關董事的監管函》(以下簡稱“《監管函》”)，現將《決定》及《監管函》原文內容公告如下：
一、《決定》原文內容
當事人：精功集團有限公司，住所：浙江省紹興市柯橋區金柯橋大道112號精功大廈18樓；
金良順，精功集團有限公司董事局主席兼總經理兼財務負責人。
經查明，精功集團有限公司(以下簡稱“發行人”)及相關當事人存在以下違規行為：
根據本所《非公開發行公司債券掛牌轉讓規則》(以下簡稱《掛牌規則》)第五十六條的規定，發行人應於每個會計年度結束之日起四個月內向本所提交併披露年度報告，但發行人未能在上述規定時間內提交併披露2018年年度報告。發行人的上述行為違反了本所《掛牌規則》第五十六條的規定。
發行人董事局主席兼總經理兼財務負責人金良順未能恪盡職守、履行誠信勤勉義務，違反本所《掛牌規則》第五條、第六條的規定，對發行人上述違規行為負有重要責任。
鑑於上述違規事實及情節，依據本所《掛牌規則》規則第九十條的規定，經本所紀律處分委員會審議通過，本所作出如下處分決定：
1、對精功集團有限公司給予通報批評的處分；2、對精功集團有限公司董事局主席兼總經理兼財務負責人金良順給予通報批評的處分。對於精功集團有限公司及相關當事人上述違規行為及本所給予的處分，本所將記入誠信檔案，並向社會公開。
二、《監管函》原文內容
精功集團有限公司相關董事：
精功集團有限公司(以下簡稱“發行人”)於2016年在我所非公開發行公司債券“16精功01”，發行金額6.9億元。發行人未於規定時間之前披露2018年年度報告，該行為違反了本所《非公開發行公司債券掛牌轉讓規則》(以下簡稱《掛牌規則》)第56條的規定，以及公司債券募集説明書的約定。時任董事方朝陽、孫建江、金建順、孫衞江、高國水、邵志明、傅祖康、金力，違反本所《掛牌規則》第5條、第6條的規定，對發行人上述違規行為負有一定責任，我部予以書面警示。同時提醒相關人員恪盡職守、履行誠信勤勉義務，嚴格督促發行人遵守《證券法》等法律、法規和《掛牌規則》等相關規定，及時、準確、完整地履行信息披露義務。
截至本公告披露日，精功集團有限公司共持有公司股份141,809,800股，佔公司總股本的31.16%，其所持有公司股份全部被司法輪候凍結。2020年8月14日紹興市柯橋區人民法院裁定精功集團有限公司等九公司進入合併重整程序，將可能導致公司實際控制權發生變更。
