密爾克衞(603713.SH)：持股5%以上的君聯茂林違規交易公司股票
格隆匯 9 月 7日丨密爾克衞(603713.SH)公佈，公司於2019年8月9日披露了持股5%以上股東北京君聯茂林股權投資合夥企業(有限合夥)(“君聯茂林”)的減持計劃，擬在未來6個月減持不超過6%，截至公告日，君聯茂林持有公司2649.0543萬股，佔公司總股本的17.37%。公司於2020年1月7日在中國登記結算有限責任公司上海分公司完成了公司限制性股票226.3萬股的授予登記工作，公司股份總數將由152,473,984股增加至154,736,984股，君聯茂林持有公司股份的比例相應減少。
2019年9月12日至2020年2月21日，君聯茂林通過集中競價和大宗交易方式，合計減持公司股份514.1274萬股，佔公司總股本的3.32%。2020年5月6日，君聯茂林通過大宗交易方式減持300萬股公司股份，佔公司總股本的1.94%。減持完成後，君聯茂林持有公司股份數量降至1834.9269萬股，占上市公司總股本的11.86%，股份減少的變動比例累計已達到5.51%。
按照《上市公司收購管理辦法》第十三條：“通過證券交易所的證券交易，投資者及其一致行動人擁有權益的股份達到一個上市公司已發行股份的5%時，應當在該事實發生之日起3日內編制權益變動報告書，向中國證監會、證券交易所提交書面報告，通知該上市公司，並予公告；在上述期限內，不得再行買賣該上市公司的股票，但中國證監會規定的情形除外。
前述投資者及其一致行動人擁有權益的股份達到一個上市公司已發行股份的5%後，通過證券交易所的證券交易，其擁有權益的股份佔該上市公司已發行股份的比例每增加或者減少5%，應當依照前款規定進行報告和公告。在該事實發生之日起至公告後3日內，不得再行買賣該上市公司的股票，但中國證監會規定的情形除外。”的相關規定，股東君聯茂林在減持公司股份至持股5%時未停止交易，構成違規。
經瞭解股東君聯茂林表示並非故意違反相關規定，系由於對《證券法》、《上海證券交易所股票上市規則》、《上市公司收購管理辦法》等相關規定未能及時掌握、理解，故導致了本次違規交易行為。
君聯茂林並非主觀故意違規操作，且已認識到違規事項的嚴重性，並立即組織員工認真學習，吸取教訓，就本次違規操作行為向上市公司及廣大投資者致歉，承諾將認真學習相關法律法規，嚴格規範買賣股票的行為，進一步加強對證券賬户的管理、謹慎操作，防止此類事件的再次發生。
