愛康科技(002610.SZ)收到法院通知 將於9月下旬召開愛康實業債權人會議
格隆匯 9 月 4日丨愛康科技(002610.SZ)公佈，公司控股股東江蘇愛康實業集團有限公司(“愛康實業”)為江陰科瑪金屬製品有限公司、江陰東華鋁材科技有限公司等“海達集團系”公司提供了大量擔保，海達集團於2019年爆發債務危機以至嚴重資不抵債，觸發擔保鏈風險，對愛康實業造成了蔓延性損害，愛康實業的融資環境受到了較大沖擊，生產經營受到極大困擾，資金鍊緊張，不能為海達系企業墊付到期貸款。愛康實業股東會依據公司章程做出決議，愛康實業單一法人實體向江蘇省張家港市人民法院申請重整。
江蘇省張家港市人民法院於2020年6月15日作出(2020)蘇0582破申11號《民事裁定書》，裁定受理申請人愛康實業的重整申請。
近日，公司收到張家港市人民法院的通知，將於2020年9月下旬召開愛康實業債權人會議，會上債權人將對經重整管理人審核後的《江蘇愛康實業集團有限公司重整計劃(草案)》進行表決。
愛康實業進入破產程序後，公司依法申報了對愛康實業享有的債權，債權形成原因為公司對外提供擔保、愛康實業向公司提供反擔保而形成的，公司對愛康實業享有的或有債權。經管理人初步審查確認的債權金額約22.65億元，債權性質為普通債權。
根據愛康實業《重整計劃草案》，普通債權人可選擇“以7%的比例現金清償”、“持股平台權益份額”和“保留選擇權”三種方式受償。鑑於公司目前尚未實際承擔擔保責任，愛康實業的反擔保責任尚未觸發，結合愛康實業《重整計劃草案》之內容，公司無需進行受償選擇。若後續公司實際承擔擔保責任的，方可按照《重整計劃草案》進行受償選擇，參與愛康實業的破產分配。
公司已於2020年9月4日召開了第四屆董事會第二十六次臨時會議，審議通過了《關於公司作為債權人(或有)對愛康實業重整計劃(草案)表決的議案》，並同意授權副董事長兼高級副總裁易美懷在愛康實業重整的債權人會議上進行表決。
由於愛康實業為公司控股股東，此次《重整草案》涉及的或有債權金額重大，根據《深圳證券交易所股票上市規則》、《公司章程》等相關規定，此次事項尚需提交公司股東大會審議。
