用友網絡(600588.SH)：A股定增募資額由不超64.3億元調至不超53.3億元
格隆匯 9 月 4日丨用友網絡(600588.SH)公佈，公司第八屆董事會第五次會議、第八屆監事會第五次會議、2020年第二次臨時股東大會審議通過了公司本次非公開發行A股股票的相關議案。
根據中國證監會《再融資業務若干問題解答》等有關規定，對於本次發行董事會決議日前六個月至本次發行前新投入和擬投入的財務性投資金額應從本次募集資金總額中扣除。本次非公開發行的董事會決議日為2020年6月30日，公司於2020年3月28日公告擬以貨幣出資人民幣8億元，公司控股子公司深圳前海用友力合金融服務有限公司(“友金控股”)擬以貨幣出資人民幣2億元，共同設立友金網絡小額貸款有限公司；2020年8月7日，公司控股子公司友金控股簽署了股權轉讓協議，擬以貨幣資金人民幣9991.49萬元受讓深圳市信暉融資擔保有限公司100%股權。上述在本次發行董事會決議日前六個月至本次發行前新投入和擬投入的財務性投資金額合計109991.49萬元，根據上述規定，應從本次募集資金總額中扣除。
因此，公司董事會在2020年第二次臨時股東大會授權範圍內，擬將本次非公開發行的募集資金金額進行相應調整：將募集資金總額由“不超過人民幣64.3億元”調減為“不超過人民幣53.30億元”，並相應調整募集資金在募投項目中的投資金額(補充流動資金及歸還銀行借款由12.05億元調整為1.05億元)，原發行方案中其他內容不變。
2020年9月3日，公司召開第八屆董事會第八次會議、第八屆監事會第八次會議，審議通過了《公司關於調整公司非公開發行A股股票方案的議案》、《公司關於公司非公開發行股票預案(修訂稿)的議案》、《公司關於公司非公開發行股票募集資金使用的可行性研究報告(修訂稿)的議案》、《公司關於非公開發行股票攤薄即期回報與填補措施及相關主體承諾(修訂稿)的議案》。
針對上述調整，公司編制了《用友網絡科技股份有限公司2020年非公開發行A股股票預案(修訂稿)》、《用友網絡科技股份有限公司2020年度非公開發行A股股票募集資金使用可行性分析報告(修訂稿)》和《用友網絡科技股份有限公司關於非公開發行A股股票攤薄即期回報與採取填補措施及相關主體承諾(修訂稿)的公告》。
