捨得酒業(600702.SH):收到上交所《關於公司控股股東及關聯方非經營性資金佔用相關事項的監管工作函》
格隆匯 9 月 3日丨捨得酒業(600702.SH)公佈，公司於2020年9月3日收到上海證券交易所《關於公司控股股東及關聯方非經營性資金佔用相關事項的監管工作函》(上證公函【2020】2503號)(以下簡稱“《監管工作函》”)，根據相關規定，現將《監管工作函》內容公告如下：
捨得酒業股份有限公司：
2020年9月3日，公司披露了有關控股股東及關聯方非經營性資金佔用事項的問詢函回覆，但對前次問詢函中關於資金佔用決策和實施過程及相關責任人認定等事項未充分披露，且存在前後信息披露不一致的情況。根據本所《股票上市規則》第17.1條等有關規定，現將相關要求明確如下。
一、回覆公告稱，實際控制人周政對資金佔用事項事先不知情。請公司核實並披露實際控制人周政在上市公司、沱牌集團及天洋控股參與日常經營和管理決策的具體情況；並結合相關資金流向及天洋控股相關人員決策過程，説明周政表示對鉅額資金佔用不知情的合理性，以及其作為公司實際控制人對上市公司誠信義務的履行情況。
二、回覆公告中關於資金佔用起始日期的披露前後不一致，同時披露稱公司曾向蓬山酒業支付資金佔用費526萬元，請公司自查前期信息披露的準確性，並進行必要的補充更正。
三、請公司自查並列表披露自2018年以來，上市公司向控股股東、間接控股股東及其關聯方支付拆借資金的日期、對象、金額、收回時間及金額，並分別説明歷次資金拆借的具體決策和實施過程，以及相關決策人員和經辦人員。
你公司全體董事、監事、高級管理人員及控股股東、實際控制人應當勤勉盡責，高度重視上述資金佔用事項，儘快完成整改，並認真落實本函件的要求，及時履行信息披露義務，同時確保信息披露內容真實、準確、完整，維護上市公司及中小投資者合法權益。
請你公司收到本函件即予以披露，並於2020年9月10日之前以書面形式回覆我部，同時對外披露。
公司將根據上海證券交易所的要求，積極組織《監管工作函》的回覆工作，並及時履行信息披露義務。
