格隆匯 9 月 3日丨惠而浦(600983.SH)發佈風險提示性公告，公司股票於2020年9月1日至9月3日連續3個交易日漲停。鑑於近期公司股票價格波動較大，現就相關風險提示如下：
1、公司業績持續下滑。2019年度公司實現營業收入約52.82億元，較上年同期下降15.97%；歸屬於上市公司股東的淨利潤-3.23億元，較上年同期下降223.30%；歸屬於上市公司股東的扣除非經常性損益的淨利潤-3.82億元，較上年同期下降5707.04%。公司2020年上半年實現營業收入21.56億元，較去年同期下降20%；歸屬於上市公司股東的淨利潤-1.16億元，同比下降93%；歸屬於上市公司股東的扣除非經常性損益的淨利潤-1.30億元，較上年同期下降44%(上述財務數據未經審計)。且公司“三洋”品牌使用權於2019年10月23日到期，對公司的經營業績產生不利影響。
2、公司及相關責任人近期受到行政處罰。因公司披露的2015年年度報告、2016年年度報告涉嫌虛假記載，根據《中華人民共和國證券法》的有關規定，中國證券監督管理委員會決定對公司實施立案調查。2020年7月31日，上市公司收到中國證券監督管理委員會安徽監管局出具的《行政處罰決定書》(處罰字[2020]6號)。
3、要約收購尚具有不確定性。廣東格蘭仕家用電器製造有限公司擬向公司全體股東發出部分要約收購，該要約收購事項存在不確定性。具體如下：(1)公司尚未收到格蘭仕正式發佈的《要約收購報告書》，此次要約收購事項尚未生效。(2)此次要約收購尚需取得國家市場監督管理總局反壟斷局等有權主管部門的同意批覆等法定程序，具體審批週期存在不確定性。(3)2020年7月31日，上市公司收到中國證券監督管理委員會安徽監管局《行政處罰決定書》(處罰字[2020]6號)，上市公司持股5%以上股東的股份買賣將嚴格遵守《上市公司股東、董監高減持股份的若干規定》等相關要求。
