英科醫療(300677.SZ)：擬在湖南省臨湘市設立子公司
格隆匯 9 月 2日丨英科醫療(300677.SZ)公佈，為滿足未來戰略發展需要，英科醫療科技股份有限公司(“公司”)與臨湘市人民政府、城陵磯新港區管理委員會本着自願、平等和誠信的原則，簽訂了“年產400億隻(4000萬箱)高端醫用手套項目”投資協議和“城陵磯新港區北片區(臨湘工業園)熱電聯產項目”投資協議。
基於上述投資協議，公司擬投資1億元人民幣在臨湘市境內設立全資子公司湖南英科醫療有限公司(暫定名，以工商核名為準)實施年產400億隻(4000萬箱)高端醫用手套項目；公司(或其下屬子公司)投資7000萬元人民幣設立控股子公司湖南英毅熱電有限公司(暫定名，以工商核名為準)實施城陵磯新港區北片區(臨湘工業園)熱電聯產項目。
擬設立全資子公司湖南英科醫療有限公司(暫定名，以工商核名為準)；註冊資本：1億元人民幣，公司出資比例100%；經營範圍：丁腈手套、乳膠手套、PVC手套生產、銷售；PE手套、PVC粉、橡膠製品、塑膠製品、化工產品(不含危險品)、煤炭，銷售；貨物進出口(國家限制和禁止的項目除外)。(依法須經批准的項目,經相關部門批准後方可開展經營活動)。(以工商核准為準)
擬設立控股子公司湖南英毅熱電有限公司(暫定名，以工商核名為準)；註冊資本：1億元人民幣，公司(或其下屬子公司)出資比例70%，岳陽湘盛實業發展有限公司出資30%；經營範圍：熱電聯產；能源開發、電能及熱力的生產、銷售；熱水(除鹽水)供應；粉煤灰綜合利用。(依法須經批准的項目,經相關部門批准後方可開展經營活動)。(以工商核准為準)
公司在湖南省臨湘市設立子公司的目的是為實施年產400億隻(4000萬箱)高端醫用手套項目和實施城陵磯新港區北片區(臨湘工業園)熱電聯產項目，符合公司長期發展戰略和投資方向，有利於進一步增強公司的整體實力，優化公司產能及戰略佈局，鞏固公司在行業內的地位。設立子公司的資金來源為公司自有資金或自籌資金，不會對公司的生產經營產生不利影響，不存在損害公司及全體股東利益的情形。
