海默科技(300084.SZ)：公司控股股東將變更為甘肅國開 公司實控人將變更為甘肅省國資委
格隆匯 9 月 1日丨海默科技(300084.SZ)公佈，公司近日收到控股股東、實際控制人竇劍文及一致行動人張立剛、張立強出具的《簡式權益變動報告書》和甘肅國開投資有限公司(“甘肅國開”)出具的《詳式權益變動報告書》，現將有關情況公告如下：
2020年7月3日，甘肅國開與竇劍文、張立剛簽署了《股份轉讓協議》，與竇劍文、張立剛、張立強簽署了《表決權委託協議》及《一致行動協議》。2020年8月28日，與海默科技簽署了附條件生效的《股份認購協議》。
(一)股份轉讓
根據《股份轉讓協議》，竇劍文向甘肅國開轉讓其持有的海默科技1718.42萬股股份、張立剛向甘肅國開轉讓海默科技205.41萬股股份，合計轉讓1923.83萬股股票，占上市公司總股本的5.00%。股份轉讓價格區間為每股10元至13元，每股股份轉讓價格以各方後續簽署的關於此次股份轉讓的價格確認書為準。股份轉讓完成後，甘肅國開將直接持有上市公司5.00%股份。
(二)表決權委託
根據《表決權委託協議》，竇劍文、張立剛、張立強擬將其合計持有的海默科技剩餘全部股份，即5406.17萬股股份(佔海默科技股份總數的14.05%)的表決權全部授權甘肅國開行使。其中，竇劍文授權股份5155.26萬股(佔海默科技股份總數的13.40%)，張立剛授權股份89.43萬股(佔海默科技股份總數的0.232%)，張立強授權股份161.48萬股(佔海默科技股份總數的0.42%)。
此次股權轉讓、表決權委託後，甘肅國開將直接持有上市公司1923.83萬股股票，占上市公司總股本的5.00%，並通過表決權委託持有上市公司5406.17萬股股票所對應的表決權，占上市公司總股本14.05%。甘肅國開擁有表決權的股份數量合計為7330.0萬股，占上市公司總股本的19.05%，同時，上市公司董事會換屆完成且甘肅國開提名的董事占上市公司董事會半數以上席位之後，上市公司控股股東將變更為甘肅國開，上市公司實際控制人將變更為甘肅省國資委。
(三)認購向特定對象發行股票
根據附條件生效的《股份認購協議》，甘肅國開擬以現金4.25億元認購海默科技此次向特定對象發行的股票，認購股份數量為1.15億股(最終認購數量以深圳證券交易所審核通過且經中國證監會同意註冊的數量為準)，不超過此次發行前上市公司總股本的30.00%，發行價格為3.68元/股。
此次發行完成後，股東竇劍文、張立剛、張立強的表決權委託協議自動解除。
