延安必康(002411.SZ)擬以14.82億元向實控人控制的公司收購北盟物流100%股權
格隆匯 9 月 1日丨延安必康(002411.SZ)公佈，公司擬與徐州北鬆產業投資有限公司(“北鬆產業”)簽署《股權轉讓協議》，擬收購北鬆產業持有的徐州北盟物流有限公司(“北盟物流”)100%股權。經雙方協商一致，以經雙方確認的評估機構出具的評估報告確認的評估值為定價依據，公司將以自有資金人民幣14.82億元收購北盟物流100%股權。此次收購完成後，北盟物流將成為公司全資子公司納入公司合併報表範圍內。
北鬆產業為公司實際控制人李宗鬆控制的公司，根據《深圳證券交易所股票上市規則》及相關法律法規的規定，北鬆產業為公司關聯法人，此次交易構成關聯交易。
北盟物流是一家綜合性現代物流企業，投資建設了物流分撥中心、冷鏈物流中心、集裝箱堆場及新沂保税物流中心(B型)等項目，總佔地約1674畝，總建築規模超過59萬㎡。
其中，物流分撥中心佔地947.06畝，總建築面積約20萬㎡，包含8個大型國際標準倉庫及配套設施等；新沂保税物流中心(B型)佔地約425畝，其中，保税倉儲面積11.6萬㎡，配套建設卡口、保税倉庫及海關查驗、監管等設施，並於2019年6月22日正式封關運行；冷鏈物流項目佔地359.36畝，建築面積15.8萬㎡，建設了6棟大型冷庫，包括高温、低温、超低温冷藏庫三部分，可實現22.06萬噸儲藏能力；集裝箱堆場佔地367.02畝，建築面積4.3萬㎡，建設辦公樓、拆裝庫、集裝箱堆場等。北盟物流依託保税物流中心這一開放平台，借勢集裝箱堆場、鐵路專線以及港口優勢，打造集保税、倉儲、冷鏈、堆場為一體、結構合理、功能完整、層次分明的物流業態集聚基地。
標的股權交割完成後，轉讓方保證北盟物流在2021年-2023年累計經審計的淨利潤不低於5.5億元人民幣，若未能實現該業績目標，則應由轉讓方以現金方式予以補償。
此次收購北盟物流100%股權有利於北盟物流醫藥冷鏈部分與上市公司的主營醫藥業務板塊的業務整合，將完善公司下屬商業流通公司江蘇必康新陽醫藥有限公司冷鏈倉儲、配送業務，有利於推進公司在醫藥行業的戰略佈局，降低倉儲成本，提高物流及藥品管理效率。
