朗詩地產(00106.HK):建議分拆LANDSEA HOMES獨立上市
格隆匯 9 月 1日丨朗詩地產(00106.HK)發佈公告,2020年8月31日(美國時間 ),Landsea Homes及LHC與LF Capital及Merger Sub就合併訂立有條件合併協議。合併協議項下擬進行交易涉及Merger Sub合併入Landsea Homes,而Landsea Homes於合併後仍然存續。合併後,Landsea Homes將成為LF Capital(特殊目的收購公司,其LF普通股、公眾認股權證及單位於納斯達克上市)的全資附屬公司。
緊隨完成後,(i)LF Capital將擁有Landsea Homes全部股權,並將擁有經營美國物業發展業務所需的Landsea Homes全部經營資產及無形資產( 包括知識產權);(ii) 公司將透過其全資附屬公司LHC以LF普通股的形式收取合併代價,相當於:a.LF Capital於完成後的經擴大股權約67.4 %;及LF Capital完成後按全面攤薄基準計算的經擴大股權約50.2%;及(iii)完成後,Landsea Homes將成為公司的間接非全資附屬公司。
根據披露,概無股東於合併及建議分拆中擁有重大權益。因此,如召開股東大會以批准合併及建議分拆,除控股股東須就豁免保證權利的決議案放棄投票外,概無股東須放棄投票。於合併協議日期,根據上市規則第14.44條,田明、Greensheid、Landsea International及 Easycorps就合併及建議分拆分別持有890.15萬股、約19.98億股、約3.68億股及約3.61億股股份,合共相當於賦予權利出席公司股東大會並於會上投票的本公司約57.95%權益。根據上巿規則第14.44(2)條,田明、 Greensheid、Landsea International及Easycorps 發出的股東書面批准將獲接納代替舉行公司股東大會。
公司已成立由全體獨立非執行董事(即許小年、陳泰元及芮萌)組成的獨立董事委員會,以就合併、建議分拆及其項下擬進行交易向獨立股東提供意見。Trinity Corporate Finance Limited已獲委任為獨立財務顧問,以就合併、建議分拆及其項下擬進行交易向獨立董事委員會及獨立股東提供意見。
