龍馬環衞(603686.SH)：擬設立互聯科技公司及收購莆田龍馬40%股權
格隆匯 8 月 31日丨龍馬環衞(603686.SH)公佈，公司召開第五屆董事會第九次會議，會議審議通過了如下議案：
(一)審議通過《關於投資設立互聯科技公司的議案》。
公司在現有智慧環衞平台的基礎上，緊跟行業發展趨勢以及5G、人工智能、工業互聯網、物聯網為代表的新興領域的快速發展，繼續深度開發，運用互聯網思維，將環衞服務產業和環衞裝備製造融合智能網聯技術，提升企業管理效率，推動產業轉型升級，助力公司迅猛騰飛，同意公司設立全資子公司“龍馬環衞互聯科技有限公司”(暫定名，最終名稱以核准登記為準，“龍馬互聯”)，註冊資本為人民幣1000萬元，經營範圍：智慧環衞雲平台技術開發、銷售、諮詢及服務；計算機軟硬件及系統集成開發、銷售、諮詢及服務，相關係統方案諮詢；車聯網技術研發及應用；車聯網虛擬運營管理(不含限制項目)；車載智能終端研發及銷售；智能設備研發及銷售；環衞科技開發、諮詢、技術培訓服務(以最終工商註冊登記為準)。
(二)審議通過《關於收購控股子公司莆田龍馬環衞工程有限公司少數股東所持全部股權的議案》。
為進一步增強對子公司控制力度、提升環衞服務整體運作效率，同意公司收購控股子公司莆田龍馬環衞工程有限公司(“莆田龍馬”)少數股東龍巖市龍順物業管理有限公司所持莆田龍馬40%的股權，此次股權轉讓完成後，公司將持有莆田龍馬100%股權。
莆田龍馬目前承攬了福建省莆田市荔城區城鄉環衞一體化購買社會服務項目及補充項目，項目期限3+2年(項目運營期2018年5月16日至2021年5月15日，考核合格順延2年，順延後可至2023年5月15日)，目前項目年化合同金額約1.3億元。2018年度、2019年度項目考核結果均為合格。
股權轉讓協議的主要內容：
(1)收購依據及定價：此次收購以2020年7月31日為基準日，若莆田龍馬運營項目順利續簽，標的股權的轉讓價款為人民幣1200萬元，分三期付款；若莆田龍馬運營項目未能順利續簽，標的股權的轉讓價款為人民幣700萬元，分兩期付款。
(2)股權轉讓價款的支付：轉讓價款採用銀行轉賬方式分期付款。第一期在本協議生效後十個工作日內，由乙方向甲方支付轉讓價款600萬元，第二期在此次股權轉讓完成工商變更登記後十個工作日內，由乙方向甲方支付轉讓價款100萬元，第三期在乙方成功續簽後十個工作日內，由乙方向甲方支付剩餘轉讓價款500萬元。
(3)因上述股權轉讓而發生的有關費用和税費由各方依法自行承擔。
