四川九洲(000801.SZ)：擬放棄九洲空管增資擴股優先認繳出資權 持股降至83.7%
格隆匯 8 月 30日丨四川九洲(000801.SZ)公佈，公司2020年8月27日第十一屆董事會2020年第四次會議審議通過《關於控股子公司以掛牌方式增資擴股暨公司放棄增資擴股優先認繳出資權的議案》：公司全資控股子公司四川九洲空管科技有限責任公司(“九洲空管”)擬通過掛牌方式增資擴股，募集資金不超過1.2億元，公司擬放棄此次增資擴股優先認繳出資權。
為進一步提升核心競爭力，補充發展資金，九洲空管擬在西南聯合產權交易所通過掛牌交易的方式實施增資擴股，引進不超過2名外部投資者，募集資金不超過1.2億元，主要用於技術創新、新產品研發和科研條件能力建設。依據銀信資產評估有限公司出具的評估報告(銀信評報字(2020)滬第0426號)，此次掛牌底價為4.11元/股，最終成交價格及增資擴股數量待掛牌完成後確定。公司基於整體投資安排及資金情況的考慮，擬放棄此次優先認繳出資權，依據掛牌底價測算，此次增資擴股完成後，九洲空管股本由1.5億股增至1.792億股，公司持有九洲空管股權由100%下降至83.70%。
九洲空管為公司全資子公司，主要從事包括機載設備、地面設備和技術服務等空管業務。近年來，隨着國家航空強國、國防和軍隊現代化戰略的不斷推進實施，空管裝備國產化進程不斷加快，新一代空中交通管理、綜合航電、空管大數據處理、智慧機場、人工智能等新技術高速發展，國內空管產業面臨良好發展機遇，但同時行業競爭不斷加劇，九洲空管需加大資金投入，加速進行技術創新、新產品研發及科研條件能力建設，才能具備可持續發展動力。此次增資擴股募集資金將投入監視、通信、導航及信息化等重點領域，推進核心關鍵技術及產品工程化研發，進一步加強九洲空管產品的核心競爭力，推動九洲空管持續健康發展。
九洲空管的空管業務為公司核心業務，但公司基於整體投資安排及資金情況考慮，擬放棄此次優先認繳出資權，由於放棄權利後公司仍能維持較高的持股比例，因此對該公司仍具備控制權。同時，引入外部投資者，募集資金不僅能緩解九洲空管發展所需的資金壓力，也將給企業注入活力，有利於九洲空管提質提速，實現可持續發展。
