延安必康(002411.SZ)：全資子公司擬進行資產轉讓
格隆匯 8 月 29日丨延安必康(002411.SZ)公佈，公司於2020年8月27日召開了第五屆董事會第七次會議、第五屆監事會第六次會議，審議通過了《關於全資子公司擬進行資產轉讓的議案》。
(一)擬轉讓嘉安信息中心工程基本情況
公司為進一步盤活公司現有資產，提高公司資產使用效率，公司全資子公司陝西必康製藥集團控股有限公司之全資子公司必康製藥新沂集團控股有限公司之全資子公司徐州嘉安健康產業有限公司(“嘉安健康”、“出讓方”、“乙方”)擬向新沂經濟開發區建設發展有限公司(“新沂經開”、“受讓方”、“甲方”)轉讓其在建工程嘉安信息中心工程，經雙方協商一致，以經雙方確認的評估機構出具的資產評估報告確認的評估值為定價依據，此次擬資產轉讓價格為2.52億元人民幣。
(二)擬轉讓新沂智慧健康小鎮基本情況
公司、江蘇銀行股份有限公司新沂支行與嘉安健康、新沂經開於2020年8月12日簽訂了《合作框架協議》，其中約定新沂經開同意購買嘉安健康擁有的位於古鎮大道以西、連霍高速以北的在建工程(項目名稱：新沂智慧健康小鎮)及其所坐落的土地使用權(“標的資產”)。雙方經友好協商，就甲方向乙方購買標的資產有關事宜達成一致，甲乙雙方擬簽署《資產轉讓協議》。甲乙雙方已共同委託評估機構對標的資產進行評估，鑑於正式的評估報告尚未出具，結合市場整體情況，甲乙雙方擬以不低於人民幣15億元的轉讓價格進行交易(具體交易價格以正式評估報告評估值為準)。
標的資產目前處於江蘇銀行股份有限公司新沂支行資產抵押狀態，甲方已獲得江蘇銀行股份有限公司同意發放貸款，用於購買標的資產。公司將在審議此次資產出售事項的股東大會之前完成資產評估工作，甲乙雙方將根據經具有從事證券、期貨相關業務資格資產評估機構出具的評估報告正式簽署《資產轉讓協議》，由公司董事會授權嘉安健康法定代表人進行簽署，簽署完成後公司將及時披露進展情況，以供股東大會參考。
