碧水源(300070.SZ)：國資委原則同意中國城鄉通過定增等方式取得公司控股權的整體方案
格隆匯 8 月 28日丨碧水源(300070.SZ)公佈，公司於今日收到中國城鄉出具的《關於收到中國交通建設集團有限公司的通知》，中國城鄉於2020年8月28日收到國務院國資委出具的《關於中國城鄉控股集團有限公司收購北京碧水源科技股份有限公司有關事項的批覆》(國資產權〔2020〕462號)，國務院國資委原則同意中國城鄉通過認購公司非公開發行的約4.81億股股份等方式取得公司控股權的整體方案。中國城鄉通過接受表決權委託、公司董事會改組及認購非公開發行新股獲得公司控制權事項已於2020年3月18日取得中交集團批准，已於2020年5月12日取得國家市場監督管理總局出具的《經營者集中反壟斷審查不實施進一步審查決定書》(反壟斷審查決定〔2020〕188號)批准。
截至目前，《合作協議》《<合作協議>之補充協議》及《表決權委託協議》《<表決權委託協議>之補充協議》生效條件已滿足。中國城鄉與劉振國、陳亦力、周念雲間的表決權委託事項已生效。
《表決權委託協議》及《<表決權委託協議>之補充協議》生效前，中國城鄉持有公司3.21億股，佔公司總股本的10.14%，中交投資基金管理(北京)有限公司(“中交基金”)持有公司1290萬股，佔公司總股本的0.41%。由於中交基金與中國城鄉均為受中交集團控制的公司，因此，中交基金構成中國城鄉的一致行動人。中國城鄉及其一致行動人中交基金共計持有公司10.55%的股份。
《表決權委託協議》及《<表決權委託協議>之補充協議》生效後，中國城鄉持有公司3.21億股，佔公司總股本的10.14%，並通過表決權委託的方式持有公司4.24億股所對應的表決權，佔公司總股本13.40%。中國城鄉在公司中擁有表決權的股份數量合計為7.45億股，佔公司總股本的23.54%，中國城鄉成為可支配公司最大單一表決權的股東。中國城鄉及其一致行動人中交基金在公司中擁有表決權的股份數量合計為7.58億股，佔公司總股本的23.95%。
公司將按照《合作協議》《<合作協議>之補充協議》的相關約定推進董事會改組、監事會改組、高管人員調整事宜以及公司章程修改等相關事宜。董事會改組完成後，中國城鄉將成為可支配公司最大單一表決權的股東，且其提名的董事佔公司董事會半數以上席位，中國城鄉將成為碧水源控股股東，中交集團將成為公司的間接控股股東，國務院國資委將成為公司實際控制人。
