京東方Ａ(000725.SZ)擬推激勵計劃 涉及股票權益合計不超9.8115億股
格隆匯 8 月 28日丨京東方Ａ(000725.SZ)披露2020年股票期權與限制性股票激勵計劃(草案)，本激勵計劃包括股票期權激勵計劃和限制性股票激勵計劃兩部分。股票期權與限制性股票標的股票來源為公司從二級市場回購的公司人民幣A股普通股股票。
本次股票期權與限制性股票激勵計劃股票權益合計不超過9.8115億股，包括6.399億股股票期權和3.4125億股限制性股票，涉及的標的股票種類為人民幣A股普通股，約佔公告時公司股本總額的2.82%。其中股票期權首次授予6.069億股，佔本激勵計劃股票權益合計的61.86%，佔本次授予股票期權總量的94.84%，預留授予3300萬股，佔本次授予股票期權總量的5.16%。限制性股票無預留。
公司全部有效期內股權激勵計劃所涉及的標的股票總數累計未超過公司股本總額的10%。本激勵計劃中任何一名激勵對象通過全部有效期內的股權激勵計劃獲授的公司股票數量未超過公司股本總額的1%，具體如下：
股票期權激勵計劃：公司擬向激勵對象授予6.399億股股票期權，涉及的標的股票種類為人民幣A股普通股，約佔本激勵計劃草案公告日公司股本總額的1.84%。本計劃下授予的每份股票期權擁有在滿足生效條件和生效安排的情況下，在可行權期內以行權價格購買1股本公司人民幣A股普通股股票的權利。
限制性股票激勵計劃：公司擬向激勵對象授予3.4125億股限制性股票，涉及的標的股票種類為人民幣A股普通股，約佔本激勵計劃草案公告時公司股本總額的0.98%。
本次股權激勵計劃授予股票期權的行權價格為5.43元/股，限制性股票的授予價格為2.72元/股。
本激勵計劃授予的激勵對象共計2974人，包括公司公告本激勵計劃時在公司(含子公司，下同)任職的公司董事會聘任的高級管理人員、公司內部科學家、副總裁、高級技術專家、總監、技術專家、中層管理人員、經理與高級技術骨幹。
授予的股票期權在股票期權授予日起滿24個月後分三期行權，各期行權的比例依次為34%、33%、33%。
授予的限制性股票在限制性股票授予日起滿24個月後分三期解除限售，各期解除限售的比例依次為34%、33%、33%。
